Consulting Agreement. In exchange for your entering into this Agreement, allowing it to become effective, and complying with it, and conditioned upon you remaining employed through the Separation Date, as an additional benefit, the Company agrees to retain you as a consultant under the terms specified below.

Consulting Agreement. In order to assist the Company with a smooth transition after the Resignation Date, the Company will retain Consultant as an independent contractor under the terms specified below if Consultant executes this Agreement, complies with its terms, confirm his release of claims by executing the General Release attached as Exhibit A hereto on or within 21 days after the Resignation Date, and allow it to become effective in accordance with its terms.

Consulting Agreement. Arcadia agrees to retain Ketkar as a consultant for a limited period commencing on the Separation Date, and continuing through December 31, 2019, pursuant to the terms and conditions set forth in the Consulting Agreement attached hereto as Exhibit A (“Consulting Agreement”).

CONSULTING AGREEMENT. Upon the Effective Date, the Consulting Agreement by and between the parties dated April 14, 2020 and as amended by its terms on August 31, 2020 (the “Consulting Agreement”), shall be terminated in all material respects and shall be of no further force or effect and this Agreement shall supersede the Consulting Agreement and neither the Company nor Executive shall have any further rights or obligations thereunder. For the avoidance of doubt, in entering into this Agreement, Employee acknowledges, agrees and represents that the Consulting Agreement has been terminated in its entirety; such termination is due to the Employee’s voluntary termination of the Consulting Agreement pursuant to [Section 10(C)] of such agreement, with all notice obligations under [Section 10(C)] of the Consulting Agreement being deemed satisfied in full. Employee expressly acknowledges and agrees that the rights and obligations contained in each of Sections 4 (“Ownership of Inventions / Work Product”), and 8 (“Confidential Information”) of the Consulting Agreement survives the termination of the Consulting Agreement and shall continue in effect pursuant to its terms. The stock options granted pursuant to the Consulting Agreement shall continue to vest in accordance with the terms and conditions to of the Company’s plans, programs or applicable award agreement.

Consulting Agreement. If the Executive has signed an agreement substantially in the form of Exhibit A (the “Consulting Agreement”), pursuant to which he has become a Consultant, as defined in the 2016 Plan, effective immediately upon the termination of his employment, such that he has not had a break in his Service Relationship, as defined in Section 4, then, in accordance with the terms of the amended Stock Agreements, as defined in Section 4, any outstanding equity grants that are subject to vesting based only on the passage of time in service will continue to vest during the Executive’s service as a Consultant with respect to that number of shares which would have vested if he had continued in employment with the Company in accordance with any such equity grant’s vesting schedule. The Executive shall have 90 days from the later of # the Date of Termination or # the Consulting Agreement Termination Date, to exercise vested equity grants (but in no event later than the original expiration date).

Consulting Agreement. The Company hereby offers you the opportunity to be retained as a consultant pursuant to the terms of the Consulting Agreement attached hereto as Exhibit A. To accept this offer, you must sign and return the Consulting Agreement at the same time you sign and return this Agreement. For the avoidance of doubt, the Consulting Agreement will not become effective until the later of December 31, 2017 or the Effective Date, and if this Agreement does not become effective then the Consulting Agreement shall be null and void.

Consulting Agreement. Employee and [[ViewRay:Organization]] shall enter into a separate consulting agreement, pursuant to which Employee agrees to provide certain consulting services to [[ViewRay:Organization]] as an independent contractor commencing on October 1, 2019 and terminating on March 30, 2020 (the "Consulting Agreement").

Consulting Agreement. If you timely sign this Agreement and allow the releases set forth herein to become effective, then the Company will engage you as a consultant under the terms set forth below.

CONSULTING AGREEMENT. The Company will engage you as a consultant beginning on the Separation Date. If you do not timely sign this Agreement, or you sign and revoke it, your consulting engagement will end immediately upon the thirtieth day after the date of this Agreement. If you timely return this fully signed Agreement to the Company, allow it to become effective, and comply fully with your obligations hereunder, then the Company will continue your consulting engagement on the following terms:

Consulting Agreement. If you: # allow the releases contained in this Agreement to become effective; # comply fully with your obligations hereunder (including without limitation satisfactorily transitioning your duties during the Transition Period); and # within twenty-one (21) days after the Separation Date, execute and return to the Company the Separation Date Release and allow the Separation Date Release to become effective, then the Company will engage you as a consultant under the terms set forth below.
