Consulting Services. You agree to provide consulting services to the Company in any area of your expertise (the “Consulting Services”). You agree to exercise the highest degree of professionalism and utilize your expertise and creative talents in performing these services. Consulting Consideration. The Company shall provide to Consultant the consideration specified in Exhibit B hereto (the “Consulting Consideration”). For the avoidance of doubt, Consultant shall not be entitled to any other payment or consideration in exchange for the Services except as otherwise specified in Exhibit B.

Consulting. The Company will engage you as a consultant under the terms of the Consulting Agreement attached hereto as Exhibit B.

Consulting Period. The Consulting Relationship will be deemed to have commenced on the Separation Date and will continue until June 30, 2022, unless the Consulting Relationship has already been terminated earlier pursuant to Section 5(g) below (the “Consulting Period”). The Consulting Period can only be extended by a writing signed by you and a duly authorized officer of the Company.

Consulting. Executive agrees to provide up to a total of 20 hours of consulting services through December 31, 2021 to assist the Company in training Executive’s successor, assisting the Company’s administrative staff or any colleague reasonably requesting his services, and assisting any such successor with the transition. Executive is only obligated to provide such services if reasonably requested by the Company and only during regular business hours. The Company will reimburse Executive for any out-of-pocket expenses, including mileage, reasonably and actually incurred by Executive in providing such Services. Executive’s failure to provide these consulting services will not constitute a breach of this Consulting Agreement if the Company does not request performance of any such services.

Consulting. If you timely enter into this Agreement, allow it to become effective, and remain in compliance with its terms, then the Company will engage you as a consultant under the terms set forth below.

Consulting Services. Consultant agrees to provide consulting services for the Company in any area of his expertise, including but not limited to generally supporting finance, accounting, business planning and reporting activities, supporting the transition of responsibilities to the interim Chief Financial Officer and full-time Chief Financial Officer, when hired, being available for questions and issues that arise related to the Company’s fiscal 2022 financial plan, the closing of fiscal quarters, and tax, facilities, and investors relations matters, including being available for questions from the Company’s analysts and investors (the “Services”). During the Consulting Period (as defined below), Consultant will report directly to the Chief Executive Officer (the “CEO”) of the Company or as otherwise specified by the CEO. Consultant agrees to exercise the highest degree of professionalism and utilize his expertise and creative talents in performing these services. Consultant agrees to make himself available to perform such consulting services throughout the Consulting Period, up to a maximum of 25 hours per month, to performance of the Services. Consultant will not be required to report to the Company’s offices during the Consulting Period, except as specifically requested by the Company.

Consulting Agreement. In order to assist the Company with a smooth transition after the Resignation Date, the Company will retain Consultant as an independent contractor under the terms specified below if Consultant executes this Agreement, complies with its terms, confirm his release of claims by executing the General Release attached as Exhibit A hereto on or within 21 days after the Resignation Date, and allow it to become effective in accordance with its terms.

Consulting. During the sixty day period following any termination of this Agreement pursuant to Section ‎3.1.3, Section ‎3.1.4, Section ‎3.1.6, or Section ‎3.1.7, Executive shall be available, subject to his other reasonable commitments or obligations made or incurred in mitigation of the termination of his employment, by telephone, email or fax, as a consultant to the Company, without further compensation, to consult with its officers and directors regarding projects and/or tasks as defined by the Board.

Consulting. If you timely sign this Agreement and allow the release set forth herein to become effective, then following the Separation Date, the Company will engage you as a consultant under the terms set forth below.
