“Fixed Charges” means, for any period, the sum of # the cash portion of Consolidated Interest Charges for such period, # all cash dividends or other distributions paid (excluding items eliminated in consolidation) on any series of preferred stock during such period; and # all cash dividends or other distributions paid or accrued (excluding items eliminated in consolidation) on any series of Disqualified Stock during such period; provided that, solely for purposes of calculating the Fixed Charge Coverage Ratio for any period, # the cash portion of Consolidated Interest Charges attributable to any Indebtedness repaid during such period shall be excluded for such period (assuming such Indebtedness had been repaid immediately prior to the beginning of such period) and # the cash portion of Consolidated Interest Charges attributable to any Indebtedness incurred during such period shall be annualized for such period (assuming such Indebtedness had been incurred on the first day of such period).
