PURCHASE OF SHARES. Each Participant during each Option Period under this Plan will be granted an option as of the "Purchase Date" (as herein defined) for the purchase of as many whole shares of Stock as may be purchased with the funds in his or her Purchase Account. This election shall be automatically made as provided in this Section unless the Participant terminates participation as provided in Section 9. The purchase price for each share of Stock purchased shall be eighty five percent (85%) of the fair market value of a share of Stock on the "Purchase Date." If such percentage results in a fraction of a cent, the purchase price shall be increased to the next higher full cent. The term "Purchase Date" shall be the last business day of the Option Period. If, as of each Purchase Date, the Participant's Purchase Account contains funds, the Participant shall be deemed to have exercised an option to purchase shares at the purchase price, the Participant's Purchase Account shall be charged for the amount of the purchase, and an entry shall be made to the Participant's account maintained by the Company's transfer agent. The Company, at its option, may choose to issue share certificates at the end of each Option Period. As of each subsequent Purchase Date when funds have again accrued in the Participant's Purchase Account, shares will be purchased in the same manner.
Consideration. The grant of the Restricted Stock Units is made in consideration of the services to be rendered by the Participant to the Company.

Upon the Closing Date, in consideration for the Acquisition, [[Person A:Person]]ority shareholder of [[Organization B:Organization]] (the Majority Shareholder), (and any other Shareholders of record of [[Organization B:Organization]] upon the Closing Date) (the Shareholders) shall receive, in total, a) the Cash Purchase Price as set forth in [Section 2.1] below; b) 49% ownership of Acquisition Sub, equal to 49,000 shares of Acquisition Sub common stock (with the Company owning the remaining 51%, or 51,000 shares of Acquisition Sub common stock) and common stock of the Company (BRGO Incentive Common Shares) if the performance benchmarks for Acquisition Sub as set forth on Schedule D herein are met.
Consideration. In consideration for the Consulting Services to be performed by Carter under this Agreement, Trecora agrees to pay to Carter # a monthly fee of $7,250.00 in return for Carter’s provision of up to 40 hours of Consulting Services per month, and # $5,000 promptly following execution and delivery of this Agreement. In addition, Trecora agrees to pay Carter $156.00 for each hour of Consulting Services in excess of 40 hours per month.
CONSIDERATION. If Employee executes this Agreement, returns it to LP within the time frame stated herein, does not revoke it, and complies with Employee’s obligations hereunder, including but not limited to the non-disparagement provision, Employee will receive the following consideration:
Consideration. As consideration for your services and other obligations during the Term, the Company will pay you cash compensation in the amount of Six Thousand Dollars ($6,000) annually, payable in two equal semi-annual installments (the Annual Fee). The Annual Fee installments shall be paid within thirty (30) days of receipt of an invoice from you. In addition, the Company shall pay you cash compensation for each SAB or CAB meeting attended, or any other advisory meeting requested by the Company, (the Meeting Fee). The Meeting Fee will be equal to Three Thousand Dollars ($3,000) for each SAB or CAB meeting attended in person and One Thousand Five Hundred Dollars ($1,500) for each SAB or CAB meeting attended by phone or conference call. The Meeting Fee for any meetings that take place shall be paid within thirty (30) days of receipt of an invoice from you
Consideration. I also understand that the severance payments and benefits which I will receive in exchange for signing and not later revoking this Waiver and Release Agreement are in addition to anything of value to which I already am entitled.
