Consents and Approvals. As promptly as reasonably practicable after the date of this Agreement, Buyer shall: # make all filings required by Law to be made by it in order to consummate the transactions contemplated hereby; # use commercially reasonable efforts to furnish to the Company all information required for any application or other filing to be made pursuant to any applicable Law in connection with the transactions contemplated hereby; # keep the Company apprised of the status of any communications with, and any inquiries or requests for additional information from, any Governmental Authority; and # use commercially reasonable efforts to comply promptly with any such inquiry or request. Between the date of this Agreement and the Closing Date, Buyer shall cooperate with the Company with respect to all filings that they make in connection with the transactions contemplated hereby and cooperate with the Company in obtaining all consents identified on [Schedule 4.3]; provided, however, that Buyer will not be required to dispose of any assets or to make any change in its business to obtain the approval of any Governmental Authority.

Consents and Approvals. As promptly as reasonably practicable after the date of this Agreement, the Company shall # make all filings, applications and submissions to any Governmental Authority required by Law to be made by them in order to consummate the transactions contemplated hereby, # use commercially reasonable efforts to furnish to Buyer all information required for any application or other filing to be made pursuant to any applicable Law in connection with the transactions contemplated hereby, # keep Buyer apprised of the status of any communications with, and inquires or requests for additional information from, any Governmental Authority, # use commercially reasonable efforts to comply promptly with any such inquiry or request, # cooperate with Buyer with respect to all filings Buyer makes in connection with the transactions contemplated hereby, and # use commercially reasonable efforts to obtain all consents and approvals and provide all notices, in each case as identified on [Schedule 4.3] and provided that Buyer complies with its obligations as provided in Section 6.2.

Consents; Approvals. Each Loan Party and each of its Subsidiaries have obtained all third party consents, approvals, waivers, made all declarations or filings with, given all notices to, and obtained all consents, licenses, permits or other approvals from all Governmental Authorities that are necessary # to enter into the Loan Documents and consummate the transactions contemplated thereby, and # to continue their respective businesses as currently conducted, except (with respect to this clause (ii)) where failure to do so could not reasonably be expected to result in a Material Adverse Effect.

Consents and Approvals. No consent or approval of, giving of notice to, registration with, or taking of any other action in respect of any state, federal or other governmental authority or agency is required with respect to the execution, delivery and performance by the Company of its obligations under this Agreement, except for the filing of notices pursuant to Regulation D under the Act and any filing required by applicable state securities law, which filings will be effective by the time required thereby.

Consents and Approvals. The execution and delivery by the Holder of this Agreement, and the performance of the Holder’s obligations hereunder, do not require the Holder to obtain any consent, approval, authorization or permit of, or to make any filing with or notification to, any Person or Governmental Entity, except such filings and authorizations as may be required under the Exchange Act.

Consents and Approvals. No consent, approval, order or authorization of, or registration, declaration or filing with, or notice to, any Governmental Authority or other Person is required to be made or obtained by such Seller in connection with the authorization, execution, delivery and performance of this Agreement and the Transaction Documents, or the consummation of the transactions contemplated hereby and thereby.

Whenever the consent or approval of a party hereto is required in a particular circumstance, unless otherwise expressly provided for therein, such consent or approval shall not be unreasonably withheld or delayed by such party. No consent or approval given by a Borrower, or any Affiliate of such Borrower, shall be construed to be consent or approval of the Lender, notwithstanding that the Lender is an Affiliate of such Borrower or its Affiliate.

Consents; Approvals. Each Loan Party has obtained all third party or governmental consents, licenses, approvals, waivers, made all declarations or filings with, and given all notices to, all Governmental Authorities that are necessary # to enter into the Loan Documents and consummate the transactions contemplated thereby (except with respect to the creation and perfection of security interests not required hereunder), and # to continue their respective businesses as currently conducted, except (with respect to this clause (ii)) where failure to do so could not reasonably be expected to result in a Material Adverse Effect.

Consents and Approvals. The Company shall file any required applications, filings or notices required in connection with this Agreement, as applicable, with # the FRB and # the North Carolina Office of the Commissioner of Banks, and receive approval of, or consent or nonobjection to, the foregoing applications, filings and notices.
