all governmental and other consents that are required to have been obtained by it with respect to this Amendment Agreement have been obtained and are in full force and effect and all conditions of any such consents have been complied with;

Filings and Consents. The Parties shall use their commercially reasonable efforts to ensure that: # all filings, notices and Consents required to be made, given and obtained in order to consummate the Transactions are made, given and obtained on a timely basis; and # cooperate with each

“Permits” means any approvals, authorizations, certificates, consents, franchises, licenses, permits, registrations, variances or similar rights obtained, or required to be obtained, from a Governmental Authority.

All necessary consents and approvals to this Agreement shall have been obtained.

The Holders confirm and represent that the required Holder consents have been obtained.

All consents for assignment as required by the Existing Leases have been obtained;

All third party and other consents required for the transaction shall have been obtained;

All consents or approvals required to be obtained from any Governmental Authority in connection with the Transactions contemplated hereby shall have been obtained and be in full force and effect.

The Consents listed in Section 6.02(e) of the Buyer Disclosure Letter shall have been obtained.

Required Consents. No consent shall be required for any assignment except to the extent required by [subsection (b)(i)(B)] of this Section and, in addition:
