Approvals and Consents. The Borrower shall have obtained all approvals (to the extent required to have been obtained by such time) and all consents, including any applicable Tax Equity Required Consents, in each case that are necessary for its entry into the Transaction Documents to which it is a party and implementation of the transactions contemplated in the Transaction Documents, each of which is listed on [Schedule III].

Consents and Approvals. All governmental, shareholder, partner, member and third-party consents and approvals necessary or, in the opinion of the Administrative Agent, desirable in connection with the Extensions of Credit and the transactions

The Borrower shall have obtained all approvals (to the extent required to have been obtained by such time) and all consents, in each case that are necessary for its entry into the Financing Documents, Transaction Documents and Project Documents to which it is a party and implementation of the transactions contemplated in the Financing Documents, Transaction Documents and Project Documents, each of which is listed on [Schedule 3.1(l)].

Except for the filing of financing statements in the state and county filing offices, no consent, approval, exemption, order or authorization of, or a registration or filing with, any Official Body or any other Person is required by any Law or any agreement in connection with the execution, delivery and carrying out of this Agreement and the other Loan Documents by any Loan Party, except as listed on [Schedule 6.1.12], all of which shall have been obtained or made on or prior to the Closing Date except as otherwise indicated on [Schedule 6.1.12].

Consents and Approvals. No consent or approval of, giving of notice to, registration with, or taking of any other action in respect of any state, federal or other governmental authority or agency is required with respect to the execution, delivery and performance by the Company of its obligations under this Agreement, except for the filing of notices pursuant to Regulation D under the Act and any filing required by applicable state securities law, which filings will be effective by the time required thereby.

Consents and Approvals. No consent, approval, waiver, order or authorization of, or registration, declaration or filing with, any Third Party or any Governmental Authority is required in connection with the execution, delivery, and performance of this Agreement by such Party or the performance by such Party of its obligations contemplated hereby or thereby.

Consents and Approvals. As promptly as reasonably practicable after the date of this Agreement, Buyer shall: # make all filings required by Law to be made by it in order to consummate the transactions contemplated hereby; # use commercially reasonable efforts to furnish to the Company all information required for any application or other filing to be made pursuant to any applicable Law in connection with the transactions contemplated hereby; # keep the Company apprised of the status of any communications with, and any inquiries or requests for additional information from, any Governmental Authority; and # use commercially reasonable efforts to comply promptly with any such inquiry or request. Between the date of this Agreement and the Closing Date, Buyer shall cooperate with the Company with respect to all filings that they make in connection with the transactions contemplated hereby and cooperate with the Company in obtaining all consents identified on [Schedule 4.3]; provided, however, that Buyer will not be required to dispose of any assets or to make any change in its business to obtain the approval of any Governmental Authority.

No consent, approval, exemption, order or authorization of, or a registration or filing with, any Official Body or any other Person is required by any Law or any agreement in connection with the execution, delivery and carrying out of this Agreement and the other Loan Documents by any Loan Party, except as listed as of the Closing Date on [Schedule 5.1.12] or, if applicable, such later date as to which a version of such Schedule is updated in accordance with [Section 5.3], all of which shall have been obtained or made on or prior to the Closing Date except as otherwise indicated on [Schedule 5.1.12].

No consent, approval, order or authorization of, or registration, declaration or filing with, or notice to, any Governmental Authority or other Person is required to be made or obtained by such Seller in connection with the authorization, execution, delivery and performance of this Agreement and the Transaction Documents, or the consummation of the transactions contemplated hereby and thereby.

Consents and Approvals. As promptly as reasonably practicable after the date of this Agreement, the Company shall # make all filings, applications and submissions to any Governmental Authority required by Law to be made by them in order to consummate the transactions contemplated hereby, # use commercially reasonable efforts to furnish to Buyer all information required for any application or other filing to be made pursuant to any applicable Law in connection with the transactions contemplated hereby, # keep Buyer apprised of the status of any communications with, and inquires or requests for additional information from, any Governmental Authority, # use commercially reasonable efforts to comply promptly with any such inquiry or request, # cooperate with Buyer with respect to all filings Buyer makes in connection with the transactions contemplated hereby, and # use commercially reasonable efforts to obtain all consents and approvals and provide all notices, in each case as identified on [Schedule 4.3] and provided that Buyer complies with its obligations as provided in Section 6.2.
