Consent. Lender hereby consents to the issuance of the Forbearance Warrant, notwithstanding any prohibition on the issuance of equity interests of Borrower contained in the Loan Documents.

Voting Rights. Each Lender shall retain the sole right to approve, without the consent of any Participant, any amendment, modification or waiver of any provision of the Loan Documents other than any amendment, modification or waiver with respect to any Loan or Revolving Loan Commitment in which such Participant has an interest which would require consent of all of the Lenders pursuant to the terms of Section 9.3.

Amendment of ABL Documents and Organizational Documents. Amend, supplement or otherwise modify # the ABL Credit Agreement or the other ABL Documents if such modification # would result in the Liens or Obligations created under the Loan Documents not being permitted under the ABL Documents, # would modify [Section 12.15] of the ABL Credit Agreement in a manner that is adverse to the interests of [[Organization B:Organization]] or # otherwise places restrictions on the Borrower or any of its Domestic Subsidiaries # providing Liens to secure, or any Guarantees to support, any Obligations created under Loan Documents or # making any payment, repayment or prepayment of any Obligations created under the Loan Documents (other than, in each case under this clause (iii), any such restrictions that, taken as a whole, are not less favorable to [[Organization B:Organization]] than the restrictions set forth in the ABL Documents as in effect on the Closing Date) or # any Organizational Document of the Borrower or any Subsidiary in a manner that is materially adverse to the interests of [[Organization B:Organization]].

any amendment to, rescission, waiver or other modification of, or any consent to departure from, any of the terms of Credit Agreement or any of the other Loan Documents;

No Waiver of Defaults. This First Amendment does not constitute # a waiver of, or a consent to, # any provision of the Loan Agreement or any other Loan Document not expressly referred to in this First Amendment, or # any present or future violation of, or Default under, any provision of the Loan Documents, or # a waiver of Agent’s or any Lender’s right to insist upon future compliance with each term, covenant, condition and provision of the Loan Documents.

SECTION # Amendments, Waivers and Consents. Except as set forth below or as specifically provided in any Loan Document, any term, covenant, agreement or condition of this Agreement or any of the other Loan Documents may be amended or waived by the Lenders, and any consent given by the Lenders, if, but only if, such amendment, waiver or consent is in writing signed by the Required Lenders (or by the Administrative Agent with the consent of the Required Lenders) and delivered to the Administrative Agent and, in the case of an amendment, signed by the Borrower; provided, that no amendment, waiver or consent shall:

The parties hereto acknowledge and agree that this amendment and restatement is limited as written and is not a consent to any other amendment, restatement or waiver or other modification, whether or not similar and, except as expressly provided herein or in any Loan Document, all terms and conditions of this Agreement and the Loan Documents remain in full force and effect unless otherwise specifically amended hereby or by any Loan Documents.

“Amendment Documents” means this Fourth Amendment and all other Loan Documents executed and delivered in connection herewith. All of the Amendment Documents shall be deemed to constitute Loan Documents.

Notwithstanding anything to the contrary herein, # no Defaulting Lender shall have any right to approve or disapprove any amendment, waiver or consent hereunder (and any amendment, waiver or consent which by its terms requires the consent of all Lenders or each affected Lender may be effected with the consent of the applicable Lenders other than Defaulting Lenders), except that # the Revolving Credit Commitment of any Defaulting Lender may not be increased or extended without the consent of such Lender and # any waiver, amendment or modification requiring the consent of all Lenders or each affected Lender that by its terms affects any Defaulting Lender more adversely than other affected Lenders shall require the consent of such Defaulting Lender, # if the Administrative Agent and the Borrower have jointly identified an obvious error or any error or omission of a technical nature, in each case, in any provision of the Loan Documents, then the Administrative Agent and the Borrower shall be permitted to amend such provision, # guarantees, collateral security documents and related documents executed by the Borrower or any other Loan Party in connection with this Agreement may be in a form reasonably determined by the Administrative Agent and may be amended, supplemented or waived without the consent of any Lender if such amendment, supplement or waiver is delivered in order to # comply with local law or advice of local counsel, # cure ambiguities, omissions, mistakes or defects or # cause such guarantee, collateral security documents or other document to be consistent with this Agreement and the other Loan Documents, and # the Borrower and the Administrative Agent may, without the input or consent of any other Lender, effect amendments to this Agreement and the other Loan Documents as may be necessary in the reasonable opinion of the Borrower and the Administrative Agent to effect the provisions of [Section 2.16].

Other Breaches of the Loan Documents. The breach by the Borrower or any other Loan Party (other than a breach which constitutes an Event of Default under [clauses (a), (b) or (c) of this Article VII]) of any term or provision of this Agreement or any other Loan Document which is not remedied within 30 days after the earlier to occur of # receipt by the Borrower of written notice of such breach from the Administrative Agent and # an Authorized Officer obtains Knowledge thereof;
