Conflicting Transactions. During the Term, on a Licensed Product-by-Licensed Product basis, aTyr will not, and will cause its Affiliates not to, enter into any agreement with any Third Party under which aTyr or its Affiliates grant a license or other right under the aTyr Licensed Technology that is inconsistent with this Agreement for such Licensed Product. During the Term, on a Licensed Product-by-Licensed Product basis, Kyorin will not, and will cause its Affiliates not to, enter into any agreement with any Third Party under which Kyorin or its Affiliates grant a license or other right under the Kyorin Background Technology or New Kyorin IP that is inconsistent with this Agreement for such Licensed Product.

Conflicting Transactions. During the Term, neither Party will, or will allow its Affiliates to, enter into any agreement granting a license or other right that is inconsistent with the rights granted to the other Party under this Agreement.

Conflicting Agreements. The Executive hereby represents and warrants to the Company that the Executive's entering into this Agreement, and the obligations and duties undertaken by the Executive hereunder, will not conflict with, constitute a breach of, or otherwise violate the terms of, any other employment or other agreement to which the Executive is a party, except to the extent any such conflict, breach, or violation under any such agreement has been disclosed to the Board in writing in advance of the signing of this Agreement.

Conflicting Activities. Executive shall not, during the term of this Agreement, be engaged in any other outside business activity without the prior written consent of the Supervisor with the exception of paid Board membership with non-competing companies or transition counsel services work for Executive’s law firm, as approved by the Supervisor; provided, however, that this restriction shall not be construed as preventing Executive from investing his personal assets in publicly traded stocks and bonds and similar passive assets.

Conflicting Agreements. The Executive hereby represents and warrants that the execution of this Agreement and the performance of his/her obligations hereunder will not breach or be in conflict with any other agreement to which the Executive is a party or is bound and that the Executive is not now subject to any covenants against competition or similar covenants, or any other obligations under any court order, judgment or decree, that would affect the performance of his/her obligations hereunder. The Executive will not disclose to or use on behalf of the Company any proprietary information of a third party without such party’s consent.

Conflicting Provisions. This Section shall supersede any provisions in [Section 2.13 or 11.01] to the contrary.

. Alkermes shall not grant any right to any third party relating to the Activities which would violate the terms of or conflict with the rights granted to KU pursuant to this Agreement.

Conflicting Provisions. In the event of inconsistencies between this Agreement and any exhibit hereto, the terms of this Agreement will control. In the event of inconsistencies between this Agreement, the Quality Agreement and the SDEA, the following principles shall determine which conflicting provisions among the agreements shall control:

Conflicting Employment. Employee shall perform Employee’s duties faithfully and to the best of Employee’s ability and shall devote Employee’s full business time and effort to the performance of Employee’s duties hereunder. Employee shall not, during the term of Employee’s employment with the Company, engage in any other employment, occupation, consulting or other business activity directly related to the business in which the Company, or its subsidiaries are now involved or become involved during the term of Employee’s employment, nor will Employee engage in any other activities that conflict with Employee’s obligations to the Company.
