Conflicting Provisions. This [Section 2.15] shall supersede any provisions in Sections 2.13 or 10.011] to the contrary.

Conflicting Agreements. The Executive hereby represents and warrants that the execution of this Agreement and the performance of her obligations hereunder will not breach or be in conflict with any other agreement to which the Executive is a party or is bound and that the Executive is not now subject to any covenants against competition or similar covenants, or any other obligations under any court order, judgment or decree, that would affect the performance of her obligations hereunder. The Executive will not disclose to or use on behalf of the Company any proprietary information of a third party without such party’s consent.

Conflicting Employment. I agree that, during the term of my employment with the Company, I will not engage in any other employment, occupation or consulting directly related to the business in which the Company is now involved or becomes involved during the term of my employment, nor will I engage in any other activities that conflict with my obligations to the Company.

Conflicting Agreements. The Executive hereby represents and warrants that the execution of this Agreement and the performance of his obligations hereunder will not breach or be in conflict with any other agreement to which the Executive is a party or is bound and that the Executive is not now subject to any covenants against competition or similar covenants, or any other obligations under any court order, judgment or decree, that would affect the performance of his obligations hereunder. The Executive will not disclose to or use on behalf of the Company any proprietary information of a third party without such party’s consent.

Conflicting Provisions. In the event there is a specific conflict between the terms or conditions of this Agreement and the terms or conditions of any Schedule, the terms and conditions of this Agreement shall govern, unless the Schedule specifically and expressly supersedes this Agreement on a specific matter and then only with respect to the particular Schedule and the matter so specified.

Conflicting Agreements. The Key Holder hereby represents and warrants that the execution of this Agreement and the performance of his obligations hereunder will not breach or be in conflict with any other agreement with any third party to which the Key Holder is a party or is bound, and that the Key Holder is not now subject to any covenants against competition or similar restrictions or any court order or other legal obligation or limitation that would affect the performance of his or her duties hereunder.

Conflicting Transactions. During the Term, on a Licensed Product-by-Licensed Product basis, aTyr will not, and will cause its Affiliates not to, enter into any agreement with any Third Party under which aTyr or its Affiliates grant a license or other right under the aTyr Licensed Technology that is inconsistent with this Agreement for such Licensed Product. During the Term, on a Licensed Product-by-Licensed Product basis, Kyorin will not, and will cause its Affiliates not to, enter into any agreement with any Third Party under which Kyorin or its Affiliates grant a license or other right under the Kyorin Background Technology or New Kyorin IP that is inconsistent with this Agreement for such Licensed Product.

Conflicting Provisions. This Section shall supersede any provisions in [Section 2.13 or 11.01]1] to the contrary.

Conflicting Transactions. During the Term, neither Party will, or will allow its Affiliates to, enter into any agreement granting a license or other right that is inconsistent with the rights granted to the other Party under this Agreement.
