No Conflict. The execution, delivery and performance by it (when such performance is due) of this Settlement Agreement does not and shall not # violate any provision of law, rule or regulation applicable to it, or # conflict with, result in a breach of or constitute (with due notice or lapse of time or both) a default under any material contractual obligation to which it is a party.
