Confidentiality of Agreement. Employee agrees to keep the existence of this Agreement and all of its terms strictly confidential and not to disclose, discuss or reveal its terms to any persons or entities except immediate family members, attorneys, accountants, or if compelled to do so by subpoena or order of court of competent jurisdiction.

Confidentiality of Agreement. The Executive agrees not to disclose the terms of this Agreement to any Person (other than in connection with carrying out responsibilities for the Company); provided that # the Executive may disclose the terms of this Agreement in confidence to her immediate family, financial and other professional advisors, and attorneys, so long as any such person to whom the Executive makes such disclosure agrees not to disclose the terms of this Agreement further, and # the Executive may disclose this Agreement and its terms when required by law, subpoena, court order or the like.

Confidentiality of Agreement. The terms of this Agreement will be treated as Confidential Information pursuant to this Section 8, except that either party may disclose the terms of this Agreement: # pursuant to litigation between the parties to enforce, defend or interpret this Agreement; # to its respective legal counsel, accountants, or other professional advisors; and # as required by Applicable Law.

Confidentiality of Agreement. Unless otherwise provided for in this Agreement, the Parties agree that this Agreement and its terms are to be considered Confidential Information and shall be treated as such. Notwithstanding the foregoing, LICENSEE may disclose this Agreement # to LICENSEE’s existing or proposed financial investors and/or # to bona fide potential sublicensees, collaborators or acquirers; provided that in the case of each of (a) and (b), such investor or potential sublicensee, collaborator or acquirer has entered into a written confidentiality and non-use agreement no less restrictive than the terms set forth herein. In addition, LICENSEE # shall have the right to disclose this Agreement as required by any securities laws, regulations or stock exchanges, and # may disclose the existence of the relationship created by this Agreement. Notwithstanding the foregoing, BCM may disclose this Agreement and its terms to HHMI.

Confidentiality of Agreement. After the execution of this Agreement by Executive, neither Executive, his/her attorney, nor any person acting by, through, under or in concert with them, shall disclose any of the terms of or amount paid under this Agreement (other than to state that the Company has filed this Agreement and/or agreements related thereto as public documents) or the negotiation thereof to any individual or entity; provided, however, that the foregoing shall not prevent such disclosures by Executive to his/her attorney, tax advisors and/or immediate family members, as may be required by law, or in connection with Protected Activity (as defined in the Employment Agreement).

Confidentiality of Agreement. Employee understands and agrees that the existence of this Agreement and the terms and conditions thereof, shall be considered confidential, and shall not be disclosed by Employee to any third party or entity except with the prior written approval of Company, to Employee’s spouse or attorney or financial advisor, or upon the order of a court of competent jurisdiction. Notwithstanding anything in this Agreement to the contrary, nothing in this Agreement or any other agreement between the Company and Employee shall prevent Employee from sharing information and communicating in good faith, without prior notice to the Company, with any federal government agency having jurisdiction over the Company or its operations, and cooperating in any investigation by any such federal government agency; provided that Employee receives no monies for compensatory or other damages as a result of participating in any such communication or cooperation with the EEOC.

Confidentiality of Agreement. After the execution of this Agreement by Executive, neither Executive, his/her attorney, nor any person acting by, through, under or in concert with them, shall disclose any of the terms of or amount paid under this Agreement (other than to state that the Company has filed this Agreement and/or agreements related thereto as public documents) or the negotiation thereof to any individual or entity; provided, however, that the foregoing shall not prevent such disclosures by Executive to his/her attorney, tax advisors and/or immediate family members, as may be required by law, or in connection with Protected Activity (as defined in the Employment Agreement).

Confidentiality of Agreement. You agree to hold confidential the terms and conditions of this Agreement, except as otherwise provided by law. You may, however, discuss the terms and conditions of this Agreement with your significant other, attorney and tax advisor. You agree that you will take all steps reasonably necessary to ensure that those parties to whom disclosure is permitted will maintain the confidentiality of this Agreement and that you will be personally liable if they violate the confidentiality of this Agreement. In no manner will this obligation prevent you from responding to any government agency, court order or subpoena with truthful and accurate information.
