Confidentiality. The Tenant and its employees, agents and brokers shall keep confidential all matters concerning the terms of this Lease Agreement and the negotiations which led to it and shall not disclose the fact or substance of the negotiations or the terms to anyone without the prior written consent of the Landlord. Notwithstanding the foregoing, the provisions and preceding negotiations may be revealed to the Tenant’s accountants, attorneys and lenders so long as each such recipient is advised of the necessity for them to also maintain the confidentiality of the information. If any third party demands entitlement to the benefit of similar terms or conditions on the basis that Tenant received such treatment, it will be deemed to be the result of a violation of this confidentiality requirement by Tenant and such violation shall constitute an event of Default under the Lease.

Confidentiality. The Tenant and its employees, agents and brokers shall keep confidential all matters concerningacknowledges that the termscontent of this Lease Agreement and the negotiations which led to itany related documents are confidential information. Tenant shall keep such confidential information strictly confidential and shall not disclose such confidential information to any person or entity other than Tenant's employees, property managers, and financial, legal, and space planning consultants. In the fact or substance of the negotiations or the terms to anyone without the prior written consent of the Landlord. Notwithstanding the foregoing, the provisions and preceding negotiations may be revealedevent Tenant reasonably believes that disclosure is compelled by Applicable Law, to the Tenant’s accountants, attorneys and lendersextent possible, it shall provide Landlord ten (10) days’ advance notice of disclosure of confidential information so long as each such recipient is advised of the necessity for themthat Landlord may attempt to also maintain the confidentiality of the information. If any third party demands entitlement to the benefit of similar terms or conditions on the basis that Tenant received such treatment, it will be deemed to be the result ofobtain a violation of this confidentiality requirement by Tenant and such violation shall constitute an event of Default under the Lease.protective order.

Confidentiality. TheLandlord and Tenant and its employees, agents and brokers shall keep confidential all matters concerningthis Lease, and the terms and conditions thereof and of this Lease Agreement and the negotiations which led to itany dispute thereunder strictly confidential and shall not disclose the factsame to any person or substance of the negotiations orentity other than a Permitted Person on a reasonable need to know basis, provided that Tenant may disclose this Lease, the terms to anyone without the prior written consent of the Landlord. Notwithstanding the foregoing, the provisions and preceding negotiations may be revealed to theconditions hereof and any dispute hereunder in connection with Tenant’s accountants, attorneys and lenders so long as eachpublic disclosure requirements. Prior to disclosing same to any Permitted Person, Landlord or Tenant (as applicable) shall instruct such recipient is advised of the necessity for themPermitted Person to also maintain the confidentiality of the information. If any third party demands entitlement to the benefit of similar terms or conditions on the basis that Tenant received such treatment, it will be deemed to be the result of a violation ofabide by this confidentiality requirement by Tenant and such violation shall constitute an event of Default under the Lease.provision.

Confidentiality. The Tenant shall keep the terms and conditions of this Lease and any information provided to Tenant or its employees, agents or contractors pursuant to [Article 9] confidential and brokers shall keep confidential all matters concerning thenot # disclose to any third party any terms or conditions of this Lease Agreement andor any other Lease-related document (including subleases, assignments, work letters, construction contracts, letters of credit, subordination agreements, non-disturbance agreements, brokerage agreements or estoppels) or the negotiations which ledcontents of any documents, reports, surveys or evaluations related to it andthe Project or any portion thereof or # provide to any third party an original or copy of this Lease (or any Lease-related document or other document referenced in ​). Landlord shall not disclose the factrelease to any third party any non-public financial information or substance of the negotiations or the terms to anyone without the prior written consent of thenon-public information about Tenant’s ownership structure that Tenant gives Landlord. Notwithstanding the foregoing, the provisions and preceding negotiationsconfidential information under this Section may be revealedreleased by Landlord or Tenant under the following circumstances: # if required by Applicable Laws or in any judicial proceeding; provided that the releasing party has given the other party reasonable notice of such requirement, if feasible, # to the Tenant’a party’s attorneys, accountants, attorneysbrokers, lenders, potential lenders, investors, potential investors and lenders so long as eachother bona fide consultants or advisers (with respect to this Lease only); provided such recipient is advised of the necessity for them to also maintain the confidentiality of the information. If any third party demands entitlement to the benefit of similar terms or conditions on the basis that Tenant received such treatment, it will be deemedparties agree to be the result of a violationbound by this Section or # to bona fide prospective assignees or subtenants of this confidentiality requirementLease; provided they agree in writing to be bound by Tenant and such violation shall constitute an event of Default under the Lease.this Section.
