Confidentiality. Executive agrees that at all times following the Date of Termination, Executive will not, without the prior written consent of ​, disclose to any person, firm or corporation any confidential information of Employer which is now known to Executive or which hereafter may become known to Executive as a result of Executive’s employment or association with Employer, unless such disclosure is required under the terms of a valid and effective subpoena or order issued by a court or governmental body; provided, however, that the foregoing shall not apply to confidential information which becomes publicly disseminated by means other than a breach of this Agreement.

Confidentiality. Executive agrees that he will not, without the prior written consent of the Company disclose to any person, firm or corporation any "confidential information," of the Company which is now known to the Executive as a result of the Executive's employment or association with the Company, unless such disclosure is compelled by law or appropriate legal process or is made by Executive through proper initiation of, participation in or cooperation with a government agency’s investigative or enforcement process pursuant to the rights and protection of an applicable whistleblower law or in a related judicial proceeding, or such disclosure is made of confidential information which is in the public domain or generally known in the Company’s industry or becomes publicly disseminated by means other than a breach of this provision.

Executive acknowledges that he will have access to Confidential Information of the ​, its Subsidiaries and its customers. Executive agrees that during the Term of Employment and thereafter (including following termination of Executive's employment for any reason), Executive shall not, without the Board's prior written consent, directly or indirectly, disclose to anyone or make use of any Confidential Information, except in the performance of his duties hereunder or when required to do so by legal process, by any governmental agency having supervisory authority over the business of ​ or by any administrative or legislative body (including a committee thereof) that requires him to divulge, disclose or make accessible such information. In the event that Executive is so ordered, he shall give prompt written notice to ​ to allow ​ the opportunity to object to or otherwise resist such order.
