Confidentiality, Intellectual Property, and Non-Competition Agreements. Executive acknowledges, as a condition of Executive’s employment with the Company, Executive executed the Agreement Regarding Non-Disclosure of Confidential Information and Non-Competition attached hereto as [Exhibit A] (the “Confidentiality Agreement”) and confirms his ongoing obligations under the Confidentiality Agreement.

Confidentiality, Intellectual Property, Non-Solicitation, and Non-Competition Agreement. As a condition of employment, Executive also must sign the Confidentiality, Intellectual Property, Non-Solicitation and Non-Competition Agreement, which is attached as Exhibit A to this Agreement.

Confidentiality, Intellectual Property, and Non-Competition Agreements. Executive acknowledges, as a condition of Executive’s employment with the Company, Executive executed the Agreement Regarding Non-Disclosure of Confidential Information and Non-Competition attached hereto as [Exhibit A] (the “Confidentiality Agreement”) and confirms his ongoing obligations under the Confidentiality Agreement.

Confidentiality, Non-Competition, Non-Interference and Intellectual Property. The Company’s offer of employment set forth in this Agreement is made upon the express condition that Executive executes and delivers that certain Executive Confidentiality and Business Preservation Agreement provided [[Organization A:Organization]] Executive simultaneously herewith and dated as of the Effective Date. In addition, Company is entering into this Agreement with Executive and will employ Executive on the express condition that Executive does not use or disclose [[Organization A:Organization]] any confidential or proprietary information or trade secrets belonging [[Organization A:Organization]] anyone with whom Executive previously worked, and with the understanding that Executive’s employment with Company will not violate or be restricted by any non-competition or other agreement with anyone else.

Confidentiality, Intellectual Property, Non-Solicitation, and Non-Competition Agreement. As a condition of employment, Executive also must sign the Confidentiality, Intellectual Property, Non-Solicitation and Non-Competition Agreement, which is attached as Exhibit A to this Agreement.

Simultaneously with the signing of this Agreement the Employee shall sign the Non-Disclosure, Unfair Competition and Ownership of Inventions Undertaking in favor of the Company, attached hereto as Appendix B.

Confidentiality, Intellectual Property, Non-Solicitation, and Non-Competition Agreement. As a condition of employment, Executive also must sign the Confidentiality, Intellectual Property, Non-Solicitation and Non-Competition Agreement, which is attached as Exhibit A to this Agreement.

As a pre-condition to the entering into force of this Agreement, the Employee shall execute the Statement of Undertaking –Confidentiality, Non -Compete and Intellectual Property attached hereto as [Appendix B] and constituting an integral part of this Agreement.

Non-Competition, Non-Solicitation, Intellectual Property and Confidentiality. Executive hereby acknowledges that, during and solely as a result of his employment by the Company, Executive will receive special training, education and information with respect to the operation of the businesses of the Company, and/or its affiliates, and other related matters, and access to confidential information and business and professional contacts. In consideration of Executive’s employment and in consideration of the special and unique opportunities afforded by the Company to Executive as a result of Executive’s employment, Executive hereby agrees to abide by the terms of the non-competition, non-solicitation, intellectual property and confidentiality provisions below. Executive agrees and acknowledges that his employment is full, adequate and sufficient consideration for the restrictions and obligations set forth in those provisions.
