For purposes of this Agreement, the term “Intellectual Property” means all U.S. and foreign # inventions (whether patentable or unpatentable and whether or not reduced to practice), improvements, and U.S. and foreign patents, patent applications and patent disclosures, together with all reissuances, continuations, continuations-in-part, divisionals, continuations-in-part, revisions, extensions and reexaminations, # U.S. and foreign trademarks, service marks, trade dress, logos, trade names and corporate names, and including all associated goodwill, and all applications, registrations and renewals, # copyrightable works, copyrights and all applications, registrations and renewals # trade secrets and confidential business information (including ideas, research and development, know-how, formulas, compositions, manufacturing and production processes and techniques, technical data, patterns, industrial designs, drawings, specifications, customer and supplier lists, pricing and cost information, and business and marketing plans and proposals), # domain names and computer software (including data and related documentation) and # proprietary or confidential information and all documentation materials related thereto.

Intellectual Property” means, collectively, # all inventions (whether patentable or unpatentable and whether or not reduced to practice), all improvements thereto, and all foreign or domestic design patents, utility patents, industrial design registrations and pending applications therefor and all renewals, reissues, reexaminations, provisionals, divisionals, continuations, continuations in part and extensions thereof, # all trademarks, service marks, certification marks, trade names, trade dress, logos and other indicia of origin, all applications, registrations, extensions and renewals in connection therewith and all goodwill associated with any of the foregoing (collectively, “Trademarks”), # all published and unpublished works of authorship, copyrights (registered or unregistered), Software (including all machine readable code, printed listings of code, documentation and related property and information, whether embodied in software, firmware or otherwise), internet domain name registrations, social media accounts and web sites and all applications, registrations, renewals and extensions in connection therewith (if any) and all moral rights associated with any of the foregoing, where such may be transferred or waived in accordance with the applicable Legal Requirements, # all trade secrets, know how,

“Intellectual Property” means collectively, # all inventions (whether patentable or unpatentable and whether or not reduced to practice), all improvements thereto, and all foreign or domestic design patents, utility patents and pending applications therefor and all renewals, reissues, reexaminations, divisionals, continuations, continuations in part and extensions thereof, # all registered and unregistered trademarks, service marks, trade names, trade dress, logos and all internet domain name registrations and all applications, registrations and renewals in connection therewith, # all published and unpublished works of authorship, copyrights (registered or unregistered), databases, web sites, computer source code, executable code, programs and other software (including all machine readable code, printed listings of code, documentation and related property and information, whether embodied in software, firmware or otherwise) and all applications, registrations and renewals in connection therewith (if any), and # all trade secrets, know how, inventions and other confidential proprietary technical, business and other information including production processes and techniques, research and development information, technology, drawings, specifications, designs, plans, proposals, technical data, copyrightable technical data, financial marketing and business data and customer and supplier lists and information.

Intellectual Property” means any and all intellectual property and other proprietary rights, in any jurisdiction throughout the world, including any of the following: # patents, patent applications and invention disclosures, together with all reissuances, continuations, continuations in part, revisions, divisionals, extensions and reexaminations thereof; # trademarks, service marks, designs, trade dress, logos, slogans, trade names, internet domain names, corporate names, all applications, registrations and renewals in connection therewith, and all translations, adaptations, derivations and combinations of any of the foregoing, together with all goodwill associated with any of the foregoing; # copyrights, industrial designs, mask works and copyrightable works, and all applications, registrations and renewals in connection therewith; # trade secrets and confidential information (including formulations, ideas, research and development, know‑how, inventions, technology, formulas, compositions, manufacturing) and production processes and techniques, technical data, financial and marketing plans, customer and supplier lists and information, designs, drawings, plans, proposals and specifications; # computer software and systems (including source code, executable code, data, databases and related documentation), websites, URLs, email addresses and telephone numbers; # copies and tangible embodiments of any of the foregoing in whatever form or medium; and # any other proprietary and intellectual property rights.

Intellectual Property” shall mean any or all of the following and all rights in, arising out of, or associated therewith: # all patents and applications therefor throughout the world, and all reissues, divisions, renewals, extensions, provisionals, continuations and continuations-in-part thereof; # all inventions (whether patentable or not), invention disclosures, improvements, trade secrets, proprietary information, know how, technology, technical data and customer lists, and all documentation relating to any of the foregoing; # all copyrights, copyrights registrations and applications therefor, and all other rights corresponding thereto throughout the world; # all industrial designs and any registrations and applications therefor throughout the world, # all trade names, logos, URLs, common law trademarks and service marks, trademark and service mark registrations and applications therefor throughout the world; # all databases and data collections and all rights therein throughout the world; # all moral and economic rights of authors and inventors, however denominated, throughout the world, and # any similar or equivalent rights to any of the foregoing anywhere in the world.

Intellectual Property” means all of the following in any jurisdiction throughout the world: (a) all inventions (whether patentable or unpatentable and whether or not reduced to practice), all improvements thereto, and all U.S. and foreign patents, patent applications, and patent disclosures, together with all reissuances, continuations, continuations-in-part, revisions, extensions, and reexaminations thereof, (b) all trademarks, service marks, brand names, certification marks, trade dress, logos, trade names, domain names, assumed names and corporate names, together with all colorable imitations thereof, and including all goodwill associated therewith, and all applications, registrations, and renewals in connection therewith, (c) all copyrights, and all applications, registrations, and renewals in connection therewith, (d) all trade secrets under applicable state laws and the common law and know-how (including formulas, techniques, technical data, designs, drawings, specifications, customer and supplier lists, pricing and cost information, and business and marketing plans and proposals), (e) all computer software (including source code, object code, diagrams, data and related documentation), and (f) all copies and tangible embodiments of the foregoing (in whatever form or medium).

Intellectual Property” means # national and multinational statutory invention registrations, patents and patent applications (including all renewals, reissues, divisions, substitutions, continuations, continuations-in-part, extensions and reexaminations thereof) registered or applied for in the United States and all other nations throughout the world, # trademarks, service marks, trade dress, logos, slogans, trade names and corporate names (whether or not registered) in the United States and all other nations throughout the world, including all variations, derivations, combinations, registrations and applications for registration or renewals of the foregoing and all goodwill associated therewith, # copyrights and rights under copyrights (whether or not registered) and registrations and applications for registration or renewals thereof in the United States and all other nations throughout the world, including all derivative works, moral rights, renewals, extensions, reversions or restorations associated with such copyrights, now or hereafter provided by law, regardless of the medium of fixation or means of expression (including computer software, Open Source Software, source code, executable code, data, databases and documentation), # mask work rights and registrations and applications for registration or renewals thereof in the United States and all other nations throughout the world, # trade secrets and, whether or not confidential, business information (including pricing and cost information, business and marketing plans and customer and supplier lists), technology, specifications, designs, formulae, techniques, technical data and manuals, research and development information, know how, methods and processes (including manufacturing and production processes), and invention disclosures, # industrial designs (whether or not registered), # rights in databases and data collections (including knowledge databases, customer lists and customer databases) in the United States and all other nations throughout the world, whether registered or unregistered, and any applications for registration therefor, # URL and domain name registrations, # usernames in connection with online, mobile and computer platforms and services; # inventions, whether or not patentable, reduced to practice or made the subject of one or more pending patent applications, and all improvements thereto, # all rights in all of the foregoing provided by treaties, conventions and common law, # all rights to sue or recover and retain damages and costs and attorneys’ fees for past, present and future infringement or misappropriation of any of the foregoing, and # other proprietary or intellectual property rights now known or hereafter recognized in any jurisdiction.

Intellectual Property” means, collectively, all intellectual property of a Person, including, without limitation, # inventions, designs, patents, patent applications, copyrights, copyright applications, trademarks, trademark applications, service marks, trade secrets, confidential or proprietary information, customer list, know-how, software, and databases; # all embodiments or fixations thereof and all related documentation, applications, registrations and franchises; # all licenses or other rights to use any of the foregoing; and # all books and records relating to the foregoing.

Intellectual Property” means all intellectual property rights, pursuant to the Laws of any jurisdiction throughout the world, whether registered or unregistered, including any and all # trademarks, service marks, trade names, brand names, logos, trade dress, design rights and other similar designations of source, sponsorship, association or origin, together with the goodwill connected with the use of and symbolized by, and all registrations, applications and renewals for, any of the foregoing, # internet domain names, whether or not trademarks, web addresses, web pages, websites and related content, and URLs, # works of authorship, whether or not copyrightable, including copyrights, moral rights, and all registrations, applications for registration and renewals of such copyrights, # inventions, trade secrets, business and technical information and know-how, databases, and other confidential and proprietary information and all rights therein, # patents (including all reissues, divisionals, provisionals, continuations and continuations-in-part, re-examinations, renewals, substitutions and extensions thereof), patent applications, and other patent rights, and # software and firmware, including data files, source code, object code, application programming interfaces, architecture, files, records, schematics, computerized databases and related documentation.

Intellectual Property” means all of the following in any jurisdiction throughout the world including but not limited to the following that are owned or controlled by the Seller: # all inventions (whether patentable or unpatentable and whether or not reduced to practice), all improvements thereto, and all patents, patent applications, and patent disclosures, together with all reissuances, continuations, divisions, continuations-in-part, revisions, extensions, and reexaminations thereof; # all trademarks, service marks, trade dress, logos, slogans, trade names, corporate names, brand names, Internet domain names, other source identifiers, and rights in telephone numbers, together with all translations, adaptations, derivations, and combinations thereof and including all goodwill associated therewith, and all applications, registrations, and renewals in connection therewith; # all copyrightable works, all copyrights, and all applications, registrations, and renewals in connection therewith; # all mask works and all applications, registrations, and renewals in connection therewith; # all trade secrets and confidential, technical, and business information (including ideas, research and development, know-how, formulas, compositions, manufacturing and production processes and techniques, technical data, designs, drawings, specifications, customer and supplier lists, pricing and cost information, and business and marketing plans and proposals); # all computer software (including source code, executable code, data, databases, and related documentation); # all advertising and promotional materials, # all other proprietary rights; and # all copies and tangible embodiments thereof (in whatever form or medium).
