Transfer of Regulatory Permits. During the Transition Period, the Parties will identify the permits held by Service Provider that Owners require to complete the Project, and Service Provider will facilitate the transfer of those regulatory permits to Owners’ or Owners’ designee that are required to complete the Project.
Each of Arlington and Stagecoach is a natural-gas company as that term is defined in Section 2 of the Natural Gas Act of 1938, as amended (the Natural Gas Act). Except for Arlington and Stagecoach, none of the Contributed Entities is a natural-gas company as that term is defined in Section 2 of the Natural Gas Act. Except for Arlington and Stagecoach, none of the Contributed Entities has operated or provided services in a manner that would subject its rates and terms of service to FERC jurisdiction pursuant to the Natural Gas Act or the Natural Gas Policy Act of 1978 (the NGPA). Each of Arlington and Stagecoach is, and since October 7, 2013 has been, in compliance in all material respects with the applicable provisions of the Natural Gas Act, the NGPA, the rules and regulations promulgated by FERC pursuant to the Natural Gas Act and the NGPA, the terms and conditions of any and all tariffs, the provisions of any and all statements of operating conditions, and any and all orders and authorizations issued by FERC, in each case as applicable to them.
Existence; Conduct of Business. The Ceding Company shall do or cause to be done all things reasonably necessary to preserve, renew and keep in full force and effect its legal existence and the rights, Permits and privileges material to the conduct of its business. The Ceding Company shall, in all material respects, operate the business related to the Reinsured Policies in the ordinary course of business consistent with past practice and the terms of the Reinsured Policies.
The Executive agrees that, in matters affecting the conduct of the business of the Company and its Affiliates, the Executive shall use all reasonable efforts to comply with all applicable laws and regulations, as well as the rules, regulations, policies and procedures of the Company of general application to its employees, as they may be revised from time to time.

Conduct of YourSpace’s Business. From the date of this Agreement and until the Closing Date, or until the prior termination of this Agreement, YourSpace shall not, unless agreed to in writing by the Company:
Conduct of EnTrust’s Business. Except # for the steps provided for in the EnTrust Restructuring Steps (and related actions incidental thereto), # as expressly contemplated in this Agreement or in an Ancillary Document executed prior to the Closing, # as set forth in Section 6.1(a) of the EnTrust Disclosure Schedule or # as expressly consented to in writing by the Permal Contributor, to the extent permitted by the HSR Act or similar antitrust Laws, the EnTrust Contributor shall (and shall cause each EnTrust Entity to): # conduct its business in the Ordinary Course of Business, # use commercially reasonable efforts to # preserve its present business and operations intact, # maintain in full force and effect all of its presently existing insurance coverage described in [Section 4.26(a)] of the EnTrust Disclosure Schedule, or insurance equivalent to such existing coverage, # maintain in full force and effect all Permits described on Section 4.12(b) of the EnTrust Disclosure Schedule, # keep available the present services of its officers and employees and # preserve its rights, franchises, goodwill and relations with clients, investors, customers, landlords, suppliers and others with whom such Person does business and # not take any Restricted Action.
Permits. All material governmental licenses, approvals, authorizations, registrations, consents, orders, certificates, decrees, franchises and permits (collectively, “Permits”) of , are set forth on Section 3.16 of the Disclosure Schedule. Such Permits are all of the material Permits necessary for the services provided by and the conduct and operation of its business. All such Permits are in full force and effect; and no proceeding is pending or, to ’s Knowledge, threatened, seeking the revocation or limitation of any such Permit. To ’s Knowledge, there exists no state of facts which could cause any Governmental Entity to limit, revoke or fail to renew any Permit related to or in connection with any business as currently conducted or operated by .
SECTION # Regulatory Permits. [[Organization A:Organization]] and its subsidiaries possess all certificates, authorizations and permits issued by the appropriate federal, state, local or foreign regulatory authorities necessary to conduct their respective businesses as described on [[Organization A:Organization]] Disclosure Schedule, except where the failure to possess such permits could not reasonably be expected to result in a Company Material Adverse Effect (“Material Permits”), and neither [[Organization A:Organization]] nor any subsidiary has received any written notice of proceedings relating to the revocation or modification of any Material Permit.
Conduct of Business in Compliance With Regulatory and Contractual Requirements. Seller warrants that the Company is not currently conducting any business that is not in compliance with all Laws and nor is Company in # violation of any Laws of any Governmental Entities, or # violation of any restrictive or similar covenant, agreement, commitment, understanding or arrangement.
