107 ARTICLE V REPRESENTATIONS AND WARRANTIES

Conditions to Extensions. Notwithstanding the foregoing, the extension of Commitments pursuant to this Section shall not be effective with respect to any Lender unless # no Default or Event of Default has occurred and is continuing on the applicable Extension Date, and # The representations and warranties contained in [Section 5.01] are true and correct on and as of the applicable Extension Date.

Each Lender’s obligation to make the initial advance in respect of a Credit Facility is subject to the condition precedent that Agent shall consent to or shall have received, in form and substance satisfactory to Agent, such documents, and completion of such other matters, as Agent may reasonably deem necessary or appropriate, including, without limitation, all items listed on the Closing Deliveries Schedule attached hereto.

In addition to the conditions precedent stated elsewhere herein, the Lenders shall not be obligated to make Loans unless:
