Severance. If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this Agreement.

Whenever possible, each provision of this Agreement isshall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision of this Agreement, or becomes invalid, illegalany clause thereof, shall be determined by a court of competent jurisdiction to be illegal, invalid or unenforceable, itin whole or in part, such provision or clause shall be deemedlimited or modified in its application to the minimum extent necessary to make itsuch provision or clause valid, legal and enforceable. If such modification is not possible,enforceable, and the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validityremaining provisions and enforceability of the restclauses of this Agreement.Agreement shall remain fully enforceable and binding on the parties.

Ifenforceable, or if such a modification is not possible,possible without materially altering the relevant provision or part-intention of the Parties hereto, then such provision shall be deemed deleted. Any modification to or deletionsevered from this Agreement. In such case the validity of a provision or part-provision under this clausethe remaining provisions shall not affect the validitybe affected and enforceability of the rest of this Agreement.Agreement shall be construed as if such provision were not contained herein.
