Conditions to Effectiveness. This Amendment shall be deemed effective upon # the due execution and delivery to Bank of # this Amendment by each party hereto, # the Pledge Agreement, # evidence that Borrower has established the Pledged Account, and # payment by Borrower of all Bank Expenses due and owing as of the date hereof, which, in each case, may be debited from any of Borrower’s accounts at Bank.

CONDITIONS TO EFFECTIVENESS. This Amendment will be effective as of the Effective Date, but subject to satisfaction of each of the following conditions precedent:

Notwithstanding the foregoing, any extension of any Applicable Maturity Date pursuant to this [Section 2.22] shall not be effective with respect to any Extending Lender and each Additional Commitment Lender unless # no Default or Event of Default shall have occurred and be continuing on the applicable Extension Date and immediately after giving effect thereto; and # the representations and warranties of the Borrowers set forth in this Agreement, and of each Loan Party in each of the other Loan Documents to which it is a party, are true and correct in all material respects (or in all respects if the applicable representation or warranty is qualified by Material Adverse Effect or materiality) on and as of the applicable Extension Date and after giving effect thereto, as though made on and as of such date (or, if any such representation or warranty is expressly stated to have been made as of a specific date, as of such date), as evidenced by delivery of a certificate of a Financial Officer of the Company on the Extension Date.

Conditions to Effectiveness. This Extension Agreement shall become effective on the date on which the Borrower, the Agent and the Lenders receive counterpart signatures to this Extension Agreement duly executed and delivered by the Loan Parties, the Agent and each Lender.
