Conditions Subsequent. Within a reasonable time after the First Amendment Effective Date, but, in any event, not later than April 14, 2020, the Loan Parties shall deliver, or shall cause to be delivered, to the Administrative Agent a fully executed confirmation agreement with respect to the security documents governed by English law in the form agreed to by the Loan Parties and the Administrative Agent as of the First Amendment Effective Date. For the avoidance of doubt, failure to perform the obligation set forth above by the date indicated (subject to any extension of such date as consented to by the Administrative Agent in its sole discretion shall constitute an Event of Default under [Section 8.01(b)] of the Credit Agreement.

The Borrowers shall ensure that:

Within a reasonable time after the Fourth Amendment Effective Date, but, in any event, not later than October 11, 2021, the Loan Parties shall deliver, or shall cause to be delivered, to the Administrative Agent a fully executed confirmation agreement with respect to the security documents governed by English law in the form agreed to by the Loan Parties and the Administrative Agent as of the Fourth Amendment Effective Date. For the avoidance of doubt, failure to perform the obligation set forth above by the date indicated (subject to any extension of such date as consented to by the Administrative Agent in its sole discretion) shall constitute an Event of Default under [Section 8.01(c)] of the Credit Agreement.

Conditions Subsequent. The New Guarantors will deliver or cause to be delivered, or use commercially reasonable efforts to deliver or cause to be delivered, in each case, in accordance with and subject to the terms and conditions set forth in the Credit Agreement, to the Agent, in form and substance satisfactory to the Agent, on or before the dates set forth below (which may be extended or waived in the Agent’s sole discretion):

The Borrower shall complete the mortgage registration under the Mortgage Agreement over the Land within one-hundred and twenty (120) days after executing the Mortgage Agreement over the Land, provided that the Security Agent has, at the reasonable request of the Borrower, taken all necessary acts and delivered all necessary documents for the purpose of the mortgage registration.

Conditions Subsequent. Borrowers hereby agree to satisfy each requirement set forth below on or before the dated specified for such requirement or such later date as Agent may permit; and agree that the failure to timely satisfy the following requirements shall be an Event of Default:

The obligation of the Lender under this Agreement to make any Advance under the Credit Facility subsequent to the initial Advance is subject to and conditional upon the following conditions (the “Subsequent Tranche Conditions”) being satisfied on or prior to the date of such subsequent Advance (unless otherwise waived by the Lender, in its discretion):

Post-Closing Conditions Subsequent. The Borrowers shall satisfy each of the conditions subsequent to the Closing Date specified in this Section 5.3 to the reasonable satisfaction of the Administrative Agent, in each case by no later than the date specified for such condition below (or such other date as Administrative Agent shall agree in its sole discretion):

Conditions Subsequent to Effectiveness. As an accommodation to the Loan Parties, Administrative Agent and the Lenders have agreed to execute this Amendment notwithstanding the failure by the Loan Parties to satisfy the conditions set forth below on or before the Amendment Effective Date. In consideration of such accommodation, the Loan Parties agree that, in addition to all other terms, conditions and provisions set forth herein and in the Financing Agreement and the other Loan Documents, including, without limitation, those conditions set forth in Section 6 hereof, the Loan Parties shall satisfy each of the conditions subsequent set forth below on or before the date applicable thereto (it being understood that # the failure by the Loan Parties to perform or cause to be performed any such condition subsequent on or before the date applicable thereto shall constitute an Event of Default and # to the extent that the existence of any such condition subsequent would otherwise cause any representation, warranty or covenant in this Amendment, the Financing Agreement or any other Loan Document to be breached, the Required Lenders hereby waive such breach for the period from the Amendment Effective Date until the date on which such condition subsequent is required to be fulfilled pursuant to this Section 7):
