Failure to Satisfy Conditions Precedent. If any [[Organization A:Organization]] makes available to the Administrative Agent funds for any Loan to be made by such [[Organization A:Organization]] as provided in Section 2, and such funds are not made available to the Borrowers by the Administrative Agent because the conditions to the applicable Extension of Credit set forth in Section 5 are not satisfied or waived in accordance with the terms hereof, the Administrative Agent shall return such funds (in like funds as received from such [[Organization A:Organization]]) to such [[Organization A:Organization]], without interest.

Conditions Precedent to Initial Loan. As a condition precedent to the availability of the Term Loan hereunder, the Lender must receive the following from the Borrower in form satisfactory to the Lender:

Buyer's obligation to close hereunder shall be expressly conditioned upon the occurrence or fulfillment of each of the following conditions on or prior to the Closing Date or such earlier date as may be provided in this Paragraph 4(a):

1.01Conditions of Initial Credit Extension. The occurrence of the Closing Date, the initial effectiveness of this Agreement and obligation of each Lender to make its initial Credit Extension hereunder is subject to satisfaction of the following conditions precedent:

Section # Conditions Precedent to Initial Advance. The effectiveness of this Agreement and obligations of Bank to make Advances are subject to the condition precedent that Bank shall have received all the following, in form and substance satisfactory to Bank:

Conditions Precedent to the Obligations of Sellers and the Company to Close. The obligations of the Sellers and the Company to complete this transaction shall be subject to the fulfillment at or prior to the Closing Date of the following conditions:

Article # CONDITIONS PRECEDENT TO CLOSING AND EFFECTIVENESS; CONDITIONS PRECEDENT TO CREDIT EXTENSIONS

The obligation of the Vendor to complete the sale of the Purchased Shares contemplated herein, is subject to the fulfillment of the following conditions precedent, unless waived in writing by the Vendor, and the Purchaser shall use its best efforts to ensure that these conditions are fulfilled on or before the Closing Date.

§11. CONDITIONS TO ALL BORROWINGS. The obligations of the Lenders to make any Loan, whether on or after the Closing Date, shall also be subject to the satisfaction of the following conditions precedent:
