Section #1Initial Extension of Credit. The obligation of Lenders to make an initial Credit Extension hereunder is subject to the following conditions precedent:

Each party shall use commercially reasonable efforts to obtain such consent, including by promptly signing Master Landlord’s commercially reasonable consent form. If Master Landlord does not consent in writing to this Sublease within thirty (30) days after Sublandlord's execution of this Sublease, then Sublandlord or Subtenant may, at any time thereafter until such approval is obtained, terminate this Sublease upon written notice to the other party, whereupon any monies previously paid by Subtenant to Sublandlord shall be reimbursed to Subtenant.

Conditions Precedent. As conditions precedent to the closing of the Acquisition, the following events must first have occurred or be satisfied:

Other than to the extent that the Majority Lenders notify the Facility Agent in writing to the contrary before the Facility Agent gives the notification described in paragraph 4.1.1 above, the Lenders authorise (but do not require) the Facility Agent to give that notification. The Facility Agent shall not be liable for any damages, costs or losses whatsoever as a result of giving any such notification.
