Conditions Precedent. This Agreement shall become effective upon receipt by the Administrative Agent of counterparts of this Agreement, properly executed by the Borrower, the Co- Borrower and each Lender.

This Agreement shall become effective upon receipt byas of the Administrativedate (the “Effective Date”) on which the Agent of counterparts ofshall have executed this Agreement, properly executed byAgreement and received from the Borrower, the Co- Borrower and each Lender.other Loan Party a counterpart of this Agreement signed on behalf of the Borrower and each other Loan Party (or written evidence satisfactory to the Agent (which may include a facsimile or other electronic transmission) that each of the Borrower and the other Loan Parties has signed a counterpart of this Agreement). The Agent shall notify the Borrower and the Lenders of the Effective Date, and such notice shall be conclusive and binding.
