Employment Conditions. During the Protected Period, # the Executive’s position (including status, offices, titles, and reporting requirements), authority, duties, and responsibilities will be at least commensurate in all material respects with the most significant of those held, exercised, and assigned at any time during the 120-day period immediately preceding the Change in Control and # the Executive’s service will be performed during normal business hours at the Company’s office where the Executive was principally employed immediately prior to the Change in Control or any relocation of such office within a radius of 50 miles.
Conditions of Employment. The Executive agrees that so long as he is employed under this Agreement he will # at all times perform his responsibilities in a manner reasonably satisfactory to and subject to the direction and control of the Board with respect to his activities on behalf of the Company; # comply with all material rules, orders, and regulations of the Company; # truthfully and accurately maintain and preserve such records and make all reports as the Company may reasonably require; # fully account for all monies and other property of the Company that he may from time to time have custody of and deliver the same to the Company whenever and however directed to do so by the Board of Directors of the Company as long as such requests are in compliance with all applicable laws; # act at all times in a professional manner in keeping with the Company's philosophy, avoiding any action that would materially reflect poorly on the Company's reputation or be damaging to its image; and # obey all laws now in force or hereafter enacted affecting the work place.
Terms and Conditions of Employment. For a period of following the Closing Date, the Purchaser shall, or shall cause a Purchaser Affiliates or third-party professional employer organization, as applicable, to provide each Transferred Employee with compensation and employee benefits that are to such Transferred Employee to the compensation and employee benefits provided to such Transferred Employee immediately prior to the Closing Date.
Conditions. If Tenant exercises an Extension Option pursuant to Paragraph 3.3.2, all of the terms, covenants and conditions of this Lease shall continue in full force and effect during the applicable Extension Term, including provisions regarding payment of Additional Rent, which shall remain payable on the terms herein set forth, except that # the Base Rent during an Extension Term shall be as determined in accordance with Paragraph 3.3.4, # Tenant shall continue to possess and occupy the Premises in their existing condition, as is, as of the commencement of such Extension Term, and, subject to and without limiting Landlords repair, maintenance and other obligations under this Lease, Landlord shall have no obligation to repair, remodel, improve or alter the Premises, to perform any other construction or other work of improvement upon the Premises, or to provide Tenant with any construction or refurbishing allowance whatsoever, and # Tenant shall have no further rights to extend the Term after the expiration of the second Extension Term.
Conditions. This Amendment will be effective when all of the following conditions shall have been satisfied, as determined by the Holder in its sole discretion and the Holder shall have accepted this Amendment (notice of which acceptance is hereby waived by the Company).
