Employment; Term of Employment. The Company hereby employs Executive effective as of March 15, 2021 (the “Effective Date”), and Executive hereby accepts such employment with the Company, upon all the terms and conditions set forth below. The term of Executive’s employment under this Agreement shall continue from the Effective Date until terminated in accordance with this Agreement (the “Employment Term”).

Other Termination of Employment; Certain Vesting Conditions. If your employment terminates for any reason other than death, Retirement or Disability, any Units that have not vested prior to the date of your termination shall terminate and be forfeited on the effective date of such termination, except if your employment terminates for Cause, in which case, all unvested Units shall be forfeited upon notice to you of your termination for Cause. Subject to Sections 4, 5 and 6 of this Agreement, the issuance of shares of Stock is conditioned on your continuous employment with the Company or an Affiliate through and on the applicable anniversary of the Grant Date as set forth in Section 2 above. For purposes of the vesting conditions set forth in this Agreement, the effective date of your termination shall be deemed to be the last day of your active service with the Company or an Affiliate (if applicable). Notwithstanding anything to the contrary in the Plan or this Agreement, and for purposes of clarity, the date of your termination of employment shall not be extended by any statutory or common law notice of termination period.

Conditions of Employment. Normal conditions of employment as issued by the Company apply to the receipt of benefits under this Section 5.

Other Employment Terms and Conditions. The employment relationship between the parties shall be governed by the general employment policies and procedures of the Company, including those relating to the protection of confidential information and assignment of inventions; provided, however, that when the terms of this Agreement differ from or are in conflict with the Company’s general employment policies or procedures, this Agreement shall control.

Employment; Term of Employment. The Company hereby employs Executive on a date to be confirmed by the Company and Executive (the “Effective Date”), but in any event not later than July 30, 2021, and Executive hereby accepts such employment with the Company, upon all the terms and conditions set forth below. Conditions of Employment. Normal conditions of employment as issued by the Company apply to the receipt of benefits under this Section 5.

Employment Conditions. The Executive’s employment with the Company is contingent upon: # the Executive providing to the Company, within three (3) business days following the Executive’s start date, documentation proving the Executive’s eligibility to work in the United States, as required by the Immigration Reform and Control Act of 1986; # the Executive’s compliance with the Company’s COVID-19 vaccination policy (which requires employees to be fully vaccinated against COVID-19 in the absence of the Company’s approval of a medical or religious exemption); and # the Executive’s satisfactory completion of a criminal background check

Other Conditions of Employment. Executive shall be subject to other terms and conditions of employment as set forth in: a) the prevailing Company Team Member Handbook, b) the prevailing Company insider trading policies, and c) any other Company policies, all of which shall be subject to interpretation and change from time to time at the sole discretion of the Company, so long as such terms and conditions are not materially inconsistent with the terms hereof.
