The [Schedule I] hereto sets forth financial data and computations evidencing the Borrower’s compliance with certain covenants of the Credit Agreement, all of which data and computations are, to the best of my knowledge, true, complete and correct and have been made in accordance with the relevant Sections of the Credit Agreement.

All computations of interest hereunder shall be made in accordance with Section 2.10 of this Agreement.

[Schedule 1] attached hereto sets forth true and accurate computations of certain covenant ratios in the Agreement.

Compensation to the Employee under this certificate, and other such certificates issued to the Employee (and other employees), shall not be deducted in making earnings computations for the purpose of the Plan. Earnings computations, for purposes of the Plan, shall be reasonable approximations made by DJC to facilitate convenient and economical accounting practices and will be final and binding on the Employee.

All computations of interest payable as provided in this Note shall be determined in accordance with the terms of the Agreement.

The Compliance Certificate shall, amongst other things, set out (in reasonable detail) computations as to compliance with Clause 22 (Financial Covenants).

[Schedule II] hereto sets forth the computations necessary to determine the Applicable Rate commencing on the Business Day this Certificate is delivered.

The computations set forth in this Certificate are designed to facilitate determinations of compliance with certain provisions in the Credit Agreement. The use of abbreviated terminology and/or descriptions in the computations below are not in any way intended to override or eliminate the more detailed descriptions for such computations set forth in the relevant provisions of the Credit Agreement, all of which shall be deemed to control. In addition, the failure to identify any specific provisions or terms of the Credit Agreement in this Certificate does not in any way affect their applicability during the Accounting Period covered by such financial statements or otherwise, which shall in all cases be governed by the Credit Agreement.

All computations of interest hereunder shall be made on the basis of a year of 365 days for the actual number of days elapsed during the period for which such interest is payable.
