“Compound”. Compound means any Glucokinase Activator and shall be understood in its broadest sense to encompass all types of chemical, biological or biochemical structures and compounds that activate glucokinase through binding with the glucokinase enzyme (“Glucokinase Activators”). Merely to illustrate the breadth of this definition and not by way of limitation, “Compound” includes each and every type of structure or compound of biological or pharmaceutical interest, including small and large molecules, macromolecules and assemblies; saccharides, carbohydrates, lipids, peptides, polypeptides, proteins, amino and nucleic acids and derivatives thereof; cell compounds, products and byproducts, including without limitation antibodies, hormones and enzymes; and various other modulators of biological activity.

“Compound”. Compound means any vTv Compound and each prodrug, solvate, hydrate, ester, salt stereoisomer, racemate, tautomer, polymorph, isomer, enantiomer, free acid form, free base form, crystalline form, co-crystalline form, amorphous form, chelate, or optically active form and metabolite thereof, provided that any such metabolite has functional, in vivo, [[Unknown Identifier]] Inhibition as its therapeutic mechanism of action.

“Compound”. Compound means any small molecule GLP-1r Agonist compound, including # TTP273, # any Backup Compound, or # any other form of [[Unknown Identifier]] or a Backup Compound, including any prodrug (including ester pro-drug), solvate, hydrate, ester, salt, stereoisomer, racemate, tautomer, polymorph, isomer, enantiomer, free acid form, free base form, crystalline form, co-crystalline form, amorphous form, chelate, or optically active form and metabolite thereof, provided that any such metabolite has functional, in vivo GLP-1r Agonist activity as a therapeutic mechanism of action.

Substitute Compound. If XPH abandons the Compound for Commercialization and Development in the Territory, Kinex upon the payment of US​ by XPH to Kinex, shall select an alternative compound from the same chemical class and such alternative compound shall be added to the definition of “Compound” for all purposes under this Agreement (“Alternative Compound”). If Kinex has also abandoned the Compound for Commercialization and Development in the Field outside the Territory and is developing a substitute compound in the Field outside the Territory, the Alternative Compound shall be the substitute compound currently under Development and Commercialization by Kinex in the Field outside the Territory. Kinex shall transfer all Data relating to the Alternative Compound to XPH. XPH shall be responsible for all costs associated with the Development and Commercialization of the Alternative Compound in the Territory including preclinical and toxicology studies necessary to permit the filing of an IND with SFDA for the Alternative Compound.

Licensed Compound. HFB has disclosed to [[FibroGen:Organization]] all compounds that HFB or any of its Affiliates owns or in-licenses that are the subject of the Gal-9 Licensed Program or each Option Program, as applicable.

“vTv Compound”. vTv Compound means any compound that # is Controlled by vTv as of the Effective Date and # is a [[Unknown Identifier]] Inhibitor, including [[Unknown Identifier]] and any backup compound thereto.

“Backup Compound”. Backup Compound means any GLP-1r Agonist whose composition of matter or chemical structure is disclosed or claimed in, or Covered by the vTv Patent Rights existing as of the Effective Date.

The term “Back-Up Compound” shall mean a molecule other than the Lead Compound, ​ and that:

Substitution Licensed Compound. [Schedule 1.8] (“Designation Letter”) shall be amended and restated in its entirety as set forth on [Exhibit A] hereto.

Modified Compound Notice. On a Research Program-by-Research Program basis, where Lilly has generated a Modified Compound or Monospecific Compound that it intends to Develop as a Product, ​, a “Modified Compound Notice”), provided that ​ and shall in any event treat it as Lilly’s Confidential Proprietary Information ​; further provided ​.
