No part of the proceeds of any Loan will be used in a manner that would result in a violation of Regulation U or any of the other Regulations of the FRB. If requested by any Lender or the Administrative Agent, the Company will furnish to the Administrative Agent and each Lender a statement to the forgoing effect in conformity with the requirements of FR Form G-3 or FR Form U-1, as applicable, referred to in Regulation U.

No part of the proceeds of any Loan will be used in a mannerused, whether directly or indirectly, and whether immediately, incidentally or ultimately, for any purpose that would result inentails a violation of Regulation Uof, or anythat is inconsistent with, the provisions of the other Regulations of the FRB.Board, including Regulation T, Regulation U and Regulation X. If required by law and requested by any Lender or the Administrative Agent,Agent or any Lender, the CompanyBorrower will furnish to the Administrative Agent and each Lender a statement to the forgoingforegoing effect in conformity with the requirements of FR Form G-3 or FR Form U-1, as applicable,1 referred to in Regulation U.

No part of the proceeds of any LoanLoans will be used in a manner that would result in a violationany transaction or for any purpose which violates the provisions of RegulationRegulations T, U or any of the other Regulations of the FRB.X as now and from time to time hereafter in effect. If requested by any LenderBank or the Administrative Agent, the Company​ will furnish to the Administrative Agent and each LenderBank a statement to the forgoingforegoing effect in conformity with the requirements of Form FR U-1 or Form FR G-3 or FR Form U-1, as applicable, referred to in Regulation U. ​ and its Subsidiaries are not engaged principally, or as one of their important activities, in the business of extending credit for the purpose of buying or carrying Margin Stock.
