Company Successors. In the event PPL Corporation becomes a party to a merger, consolidation, sale of substantially all of its assets or any other corporate reorganization in which PPL Corporation will not be the surviving corporation or in which the holders of the Common Stock will receive securities of another corporation, then such other corporation shall assume the rights and obligations of PPL Corporation under this Plan.
SUCCESSORS TO THE COMPANY. Interpublic shall require any successor (whether direct or indirect, by merger, consolidation, sale of stock or assets, or otherwise) to the business or assets of Interpublic expressly, absolutely, and unconditionally to assume the Plan and to administer the Plan in accordance with its terms.
Successors of the Company. The rights and obligations of the Company under the Deferral Plan shall inure to the benefit of, and shall be binding upon, the successors and assigns of the Company. In addition to any obligations imposed by law upon any successor to the Company, the Company shall require any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or substantially all of the business or assets of the Company, to expressly assume and agree to perform the requirements set forth in the Deferral Plan.
Successors to the Company. This Agreement shall be binding on the successors of the Company.

This Agreement may not be assigned by Executive but shall inure to the benefit of Executive, his heirs, and personal representatives.

Upon any transaction to which Telos ID is a party, if the surviving corporation is a subsidiary of another corporation, the ultimate parent corporation of that surviving corporation shall cause the surviving corporation to perform the obligations of Telos ID under this Plan in the same manner and to the same extent required of Telos ID but for the transaction. In such event, the term "Telos ID," as used in this Plan, will mean Telos ID and any successor or assignee (including the ultimate parent corporation of a successor or assignee) to the business or assets of Telos ID who becomes bound by the terms of this Plan.
Successors. This Agreement shall be binding upon and inure to the benefit of the successors, assigns, heirs and legal representatives of the respective parties.

Successors. This Award Agreement, including but not limited to the restrictive covenants described in [Sections 19 and 20]0] below, shall be binding upon and inure to the benefit of any successor or successors of the Corporation.
Employee’s Successors. The terms of this Agreement and all rights of the Employee hereunder shall inure to the benefit of, and be enforceable by, the Employee’s personal or legal representatives, executors, administrators, successors, heirs, distributees, devisees and legatees.
Assignment; Successors. This Agreement is not assignable by the Executive and any purported assignment by the Executive of the Executives rights and/or obligations under this Agreement shall be null and void. Except as provided below, this Agreement may be assigned by the Company at any time, upon delivery of written notice to the Executive, to any successor to the business of the Company, or to

In the event of a Change in Control, the terms “Bank,” “FUSB” and “Company” as defined herein will refer to the Company’s successor, and the Employee will not be deemed to have terminated employment hereunder until the Employee terminates employment from such successor. All payments and benefits that become due to the Employee under this Agreement will inure to the benefit of his or her heirs, assigns, designees or legal representatives; provided, however, that the Employee shall not have any right to sell, assign, transfer, pledge, anticipate or otherwise encumber, transfer, hypothecate or convey any amounts payable under this Agreement prior to the date that such amounts are paid, except that, in the case of the Employee’s death, such amounts shall be paid to the Employee’s estate or heirs, as applicable.
