Company Property and Return of Property. Executive acknowledges that as of the end of the Transition Period, she will return her Patterson-issued cellular phone and her Patterson-issued computer to the Company for processing. Company Property and Return of Property. Employee acknowledges that as of the Separation Date, he has returned all originals and copies of any documents, materials or property of the Company, whether generated by him or any other person on his behalf or on behalf of the Company or its vendors. All documents, files, records, reports, policies, training materials, communications materials, lists and information, e-mail messages, products, keys and access cards, cellular phones, computers, other materials, equipment, physical and electronic property, whether or not pertaining to the Company’s confidential information, which were furnished to Employee by the Company, purchased or leased at the expense of the Company, or produced by the Company or Employee in connection with

RETURN OF COMPANY PROPERTY. By the Separation Date, you agree to return to the Company all Company documents (and all copies thereof) and other Company property within your possession, custody or control, including, but not limited to, Company files, notes, drawings, records, business plans and forecasts, financial information, specifications, computer-recorded information, tangible property (including, but not limited to), credit cards, entry cards, identification badges, and keys; and, any materials of any kind that contain or embody any proprietary or confidential information of the Company (and all reproductions thereof); provided, however, that you are permitted to retain any Company property that is necessary for the performance of the Consulting Services and that you agree to return such Company property at the conclusion of the Consulting Period. Your timely return of all such Company documents and other property is a condition precedent to your receipt of the benefits provided under this Agreement.

Return of Company Property. Following his termination of employment, the Executive hereby agrees that the Executive will deliver to the Company, or at any other time the Company may request, all equipment, files, property, memoranda, notes, plans, records, reports, computer tapes, printouts and software and other documents and data (and all copies thereof) belonging to the Company or any of its Affiliates that embody or relate to the Confidential Information or the Business of the Company or any of its Affiliates which he may then possess or have under his control. The Executive will follow all security practices and procedures reasonably requested of senior management by the Company from time to time with respect to the access, use, storage, disclosure and return of Confidential Information to ensure the continued confidentiality and protection thereof. The Executive will notify the Company promptly and in writing (along with providing reasonable details related thereto) in the event the Executive reasonably believes Confidential Information is being used or accessed in an unauthorized manner.

Return of Company Property. You represent and warrant that You have returned to any and all documents, software, equipment (including, but not limited to, computers and computer-related items), and all other materials or other things in Your possession, custody, or control which are the property of , including, but not limited to, Company identification, keys, computers, cell phones, and the like, wherever such items may have been located; as well as all copies (in whatever form thereof) of all materials relating to Your employment, or obtained or created in the course of Your employment with . You hereby represent that, other than those materials You have returned to pursuant to this Section 4, You have not copied or caused to be copied, and have not transferred or printed-out or caused to be transferred or printed-out, any software, computer disks, e-mails or other documents, other than those documents generally available to the public, or retained any other materials originating with or belonging to . You further represent that You have not retained in Your possession, custody or control, any software, documents or other materials in machine or other readable form, which are the property of , originated with , or were obtained or created in the course of or relate to your employment with .

Return of Company Property. Immediately on the effective date of Employee’s termination of employment with the Company, for any reason, or at any time upon request of the Company, Employee shall return all property in Employee’s possession belonging to the Company, whether tangible or intangible, including, but not limited to, all physical and electronically stored data, emails, keys, credit cards, equipment, computers, Confidential Information, tablets, cell phones, vehicles, books, records, customer information, programs and data compilation, contracts, communications and other materials belonging to the Company, including any Company information stored on Employee’s Personal Electronic Equipment.

Return of Property. All documents, data, recordings, or other property, whether tangible or intangible, including all information stored in electronic form, obtained or prepared by or for you and utilized by you in the course of your employment with [[Organization A:Organization]] shall remain the exclusive property of [[Organization A:Organization]] and shall remain in [[Organization A:Organization]]’s exclusive possession at the conclusion of your Employment Term. In the event of the termination of your employment or services for any reason, [[Organization A:Organization]] reserves the right, to the extent permitted by law and in addition to any other remedy [[Organization A:Organization]] may have, to deduct from any monies otherwise payable to you the following: # all undisputed amounts you may owe, pursuant to a legally enforceable agreement, to [[Organization A:Organization]] or any of its affiliates or predecessors at the time of or subsequent to the termination of your employment or services with [[Organization A:Organization]] (including amounts described in paragraph 4(f)); and # the value of [[Organization A:Organization]] property which you are required to return and which you retain in your possession after the termination of your employment or services with [[Organization A:Organization]] following [[Organization A:Organization]]’s written request for same and your failure to return same. In the event that the law of any state or other jurisdiction requires the consent of any employee for such deductions, this Agreement shall serve as such consent. Notwithstanding anything in this paragraph 8(g) to the contrary, [[Organization A:Organization]] will not exercise such right to deduct from any monies otherwise payable to you to the extent such offset would result in a violation of [Section 409A].

Return of Property. All documents, data, recordings, or other property, whether tangible or intangible, including all information stored in electronic form, obtained or prepared by or for you and utilized by you in the course of your employment with the Company shall remain the exclusive property of the Company and shall remain in the Company’s exclusive possession at the conclusion of your employment.

Return of Property. All Company files, access keys and codes, desk keys, ID badges, computers, records, manuals, electronic devices, computer programs, papers, electronically stored information or documents, telephones and credit cards, and any other property of the Company in the Executive’s possession must be returned no later than the date of the Executive’s termination from the Company.
