Any and all Project IP, other than mask work rights, that falls within the ​ Field of Use, whether solely or jointly developed, shall be owned solely by ​ (“​ Owned IP”). ​ hereby assigns to ​ all of the Project IP developed or co-developed by ​ pursuant to this Project Statement that falls within the ​ Field of Use.

Any and all Project IP, other than mask work rights,IP that falls within the [[Intel:Aquantia:Organization]] Field of Use, whether solely or jointly developed, and all mask work rights that are part of the Project IP, shall be owned solely by [[Intel:Aquantia:Organization]] (“[[Intel:Aquantia:Organization]] Owned IP”). [[Aquantia:Intel:Organization]] hereby assigns to [[Intel:Aquantia:Organization]] all of the Project IP developed or co-developed by [[Aquantia:Intel:Organization]] pursuant to this Project Statement that falls within the [[Intel:Aquantia:Organization]] Field of Use.

Any and all Project IP, other thanIP that falls within the ​ Field of Use, whether solely or jointly developed, and all mask work rights,rights that are part of the Project IP, shall be owned solely by ​ (“​ Owned IP”). ​ hereby assigns to ​ all of the Project IP developed or co-developed by ​ pursuant to this Project Statement that falls within the ​ Field of Use. Any and all Project IP that falls within the ​ Field of Use, whether solely or jointly developed, and all mask work rights that are part of the Project IP that falls within the ​ Field of Use shall be owned solely by ​ (“​ Owned IP”). ​ hereby assigns to ​ all of the Project IP developed or co-developed by ​ pursuant to this Project Statement that falls within the ​ Field of Use.

Any and all Project IP, other than mask work rights,IP that fallsdoes not fall within either the ​ Field of Use, whetherUse or the ​ Field of Use that is solely conceived by employees of one Party as part of the Project without any contribution, individually or jointly developed,jointly, of employees of the other Party shall be owned solely by ​ (“​ Owned IP”).the Party whose employees conceived such Project IP. Any jointly-created Project IP which does not fall within the ​ hereby assigns to ​ allFiled of the Project IP developedUse or co-developed by ​ pursuant to this Project Statement that falls within the ​ Field of Use.Use will be owned as provided for in the following Sections.

Any and all Project IP, other than mask work rights,IP that fallsdoes not fall within either the ​ Field of Use, whetherUse or the ​ Field of Use that is solely conceived by employees of one Party as part of the Project without any contribution, individually or jointly developed,jointly, of employees of the other Party shall be owned solely by ​ (“​ Owned IP”). ​ hereby assigns to ​ all of the Party whose employees conceived such Project IP developed or co-developed by ​ pursuant to this Project Statement that falls within the ​ Field of Use.IP.

Any and all Project IP, other than mask work rights,IP that fallsdoes not fall within either the ​ Field of Use, whether solelyUse or jointly developed, shall be owned solely by ​ (“​ Owned IP”).the ​ hereby assigns to ​ allField of Use that is jointly conceived by employees of both parties as part of the Project IP developed or co-developed by ​ pursuant to this(“Joint Out-of-Field Project Statement that falls within the ​ Field of Use.IP”) shall be jointly owned.
