This indemnity agreement will be in addition to any liability that the Company might otherwise have.

This indemnity agreement will be in addition to any liability that the Company might otherwise have.

Company Indemnification. The Company will indemnify each Purchaser who holds Registrable Securities (if Registrable Securities held by such Purchaser are included in the securities as to which such registration is being effected), each of its officers and directors, partners, members and each person controlling such Purchaser within the meaning of Section 15 of the Securities Act, against all expenses, claims, losses, damages or liabilities (or actions in respect thereof), including any of the foregoing incurred in settlement of any litigation, commenced or threatened, arising out of or based on # any untrue statement (or alleged untrue statement) of a material fact
