Notices and Other Communications. Any and all notices, requests, demands and other communications required or otherwise contemplated to be made under this Agreement shall be in writing and in English and shall be provided by one or more of the following means and shall be deemed to have been duly given # if delivered personally, when received, # if transmitted by facsimile, on the first Business Day following receipt of a transmittal confirmation, or # if by international courier service, on the second business day following the date of deposit with such courier service, or such earlier delivery date as may be confirmed in writing to the sender by such courier service. All such notices, requests, demands and other communications shall be addressed as follows:

Confidential 12.7 Notices. All notices, requests, demands, and other communications relating to this Agreement shall be in writing in the English language and shall be delivered in person or by mail, international courier or facsimile transmission (with a confirmation copy forwarded by courier or mail). Notices sent by mail shall be sent by first class mail or the equivalent, registered or certified, postage prepaid, and shall be deemed to have been given on the date actually received. Notices sent by international courier shall be sent using a service which provides traceability of packages. Notices shall be sent as follows:

Notices. Each communication and document made or delivered by one Party to the other Party under this Agreement shall be made in the English language. All notices, consents, approvals, request or other communications required hereunder given by one Party to the other shall be in writing and made by # personal delivery, # first class certified mail with return receipt requested, # next-day delivery by major international courier with confirmation of deliver, or # email with a confirmation copy delivered by one of the foregoing methods. All notices, requests, demands and other communications required or desired to be given under this Agreement shall be in writing and shall be deemed to be given: # if personally delivered, upon such delivery; or # if sent by regularly scheduled overnight delivery carrier upon the earlier to occur of actual receipt or the next business day after being sent by such delivery:

Notices. All notices or communications required by or bearing upon this Agreement or between the Parties shall be in writing and shall be deemed duly given # on the date of delivery if delivered personally, # on the first (1st) business day following the date of dispatch if delivered using a next-day service by a recognized next-day courier or # on the earlier of confirmed receipt or the fifth (5th) business day following the date of mailing if delivered by registered or certified mail, return receipt requested, postage prepaid. All notices hereunder shall be delivered to the addresses set forth below, or pursuant to such other instructions as may be designated in writing by the Party to receive such notice delivered to their respective addresses set forth below:

All notices, requests, demands and other communications required or permitted to be given pursuant to this Agreement will be in writing and will be deemed to have been duly given upon the date of receipt if delivered by hand, recognized international overnight courier, confirmed facsimile transmission, or registered or certified mail, return receipt requested, postage prepaid to the following addresses or facsimile numbers:

Notices. All notices and other communications provided to any party hereto shall be in writing or by electronic mail or facsimile and addressed, delivered or transmitted to such party at its “Address for Notices” specified below its name on the signature pages hereof or at such other address or facsimile number as may be designated by such party in a written notice to the other parties. All notices or other communications required or permitted to be given under this Agreement shall be in writing and shall be considered as properly given # if delivered in Person, # if sent by overnight delivery service for inland delivery or international courier for international delivery, # in the event overnight delivery service or international courier service is not readily available, if mailed by first class mail (or airmail for international delivery), postage prepaid, registered or certified with return receipt requested, # if sent by facsimile or telecopy with transmission verified or # if transmitted by electronic mail (with such transmission verified). Notice so given shall be effective upon delivery to the addressee, except that communication or notice so transmitted by facsimile or telecopy or other direct written electronic means shall be deemed to have been validly and effectively given on the day (if a Business Day and, if not, on the next following Business Day) on which it is validly transmitted if transmitted (with such transmission verified) before 2:00 p.m., recipient’s time, and if transmitted after that time, on the next following Business Day.
