Electronic Communications. Notices and other communications to the Lenders hereunder may be delivered or furnished by electronic communication (including e-mail, FpML messaging, and Internet or intranet websites) pursuant to procedures approved by the Administrative Agent, provided that the foregoing shall not apply to notices to any Lender pursuant to Article 2 if such Lender has notified the Administrative Agent that it is incapable of receiving notices under such Section by electronic communication. The Administrative Agent and each Loan Party may, in its discretion, agree to accept notices and other communications to it hereunder by electronic communications pursuant to procedures approved by it, provided that approval of such procedures may be limited to particular notices or communications.

Electronic Communications. Notices and other communications to the [[Organization B:Organization]] and the Issuing Bank hereunder may (subject to ‎[Section 11.01(d)]) be delivered or furnished by electronic communication (including e-mail and Internet or intranet websites) pursuant to procedures approved by the Administrative Agent; provided that the foregoing shall not apply to notices to any Lender or Issuing Bank pursuant to Article ‎II if such Lender or Issuing Bank, as applicable, has notified the Administrative Agent (in a manner set forth in ‎[Section 11.01(a)]) that it is incapable of receiving notices under such Article by electronic communication. The Administrative Agent, the Collateral Agent or the Borrower may, in their respective sole discretion, agree to accept notices and other communications to it hereunder by electronic communications pursuant to procedures, respectively, approved by it (including as set forth in ‎[Section 11.01(d)]); provided that approval of such procedures may be limited to particular notices or communications.

Variations between tax lot lines and lines of record title;

For purposes of this Agreement, Work Product includes, but is not limited to, Company information, including plans, publications, research, strategies, techniques, documents, contracts, terms of agreements, negotiations, know-how, computer programs, computer applications, software design, web design, work in process, databases, manuals, results, developments, reports, graphics, drawings, market studies, formulae, notes, communications, algorithms, product plans, product designs, styles, models, audiovisual programs, inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results, specifications, customer information, customer lists, marketing and advertising information and sales information.

“Technology Systems” means electronic data processing, information, recordkeeping, communications, telecommunications, portfolio trading and computer systems and Intellectual Property Rights (including Software, algorithms, data, technology supporting the foregoing, and all documentation, including user manuals and training materials, related to any of the foregoing) which are used by a Person in its business.

“Virus” means a computer program that replicates itself on a computer or network of computers and damages other computer programs or data located on the computer or network or otherwise causes a defect in the operation of the computer or network.

If license agreement covers several major product lines, please prepare a separate report for each line. Then combine all product lines into a summary report.

No Access to Computer Systems or Files. Except as set forth in the Separation Agreement or any other Ancillary Agreement, no provision of this Agreement shall give # any member of the ​ Group direct access to the computer systems or other files, records or databases of any member of the ​ Group or # any member of the ​ Group direct access to the computer systems or other files, records or databases of any member of the ​ Group, unless specifically permitted by the owner of such systems, files, records or databases.

Engage to any material extent in any business activities other than in the respective primary lines of business of ​ and ​ (which shall include any evolution or extension of business activities and any business activities reasonably related to such primary lines of business conducted on the Effective Date).
