Business-Related Expenses. All reasonable business travel, entertainment, meals, lodging, and other directly related business expenses for which the Employee submits receipts and a detailed summary on approved expense report forms shall be reimbursed by the Company. If the Company provides the Employee with one or more Company credit cards, the Employee agrees to charge only those expenses that are directly related to the Company’s business activities and for which the Employee would otherwise be reimbursed. The Employee agrees to provide the Company with a timely and complete reporting of all expenses charged to the Company credit card, along with copies of all credit card charge receipts. Further, the Employee will be eligible for an appropriate allowance for cellular phone service, internet access, computer and other similar costs directly related to Employee’s engagement.

The following U.S. Cellular officers are eligible to participate in this 2019 Executive Officer Annual Incentive Plan (“Plan”): all Executive Vice Presidents.

The Executive Officer Annual Incentive Plan, as set forth in this document, represents the general guidelines U.S. Cellular intends to utilize to determine what bonus payments, if any, will be paid to the participating officers. U.S. Cellular reserves the right to modify or terminate the Plan at its sole discretion, at any time and for any reason, with or without written notification and without regard to the effect that any such action may have on any participating officer’s bonus or potential bonus. U.S. Cellular shall have the full power and authority to interpret and administer the Plan and shall be the sole arbiter of all matters of interpretation and application of the Plan.

“Harmful Code” means any program, routine, device or other feature, such as but not limited to any “back door,” “drop dead device,” “Trojan Horse,” “virus,” “worm,” “spyware,” or “adware” (as such terms are commonly understood in the technology industry) or any other code designed or intended to have, or capable of performing or facilitating, any of the following functions: # disrupting, disabling, harming, or otherwise impeding in any manner the operation of, or providing unauthorized access to, a computer system or network or other device on which such code is stored or installed; or # compromising the privacy or data security of a user or damaging or destroying any data or file without the user’s consent.

“Engineering” means the planning, site testing, designing, engineering technical service, installation, procurement, completion, debugging and trial operation of the wireless network coverage project in Beijing area.

During Executive’s employment, upon the Board’s request, or upon the termination of his employment for any reason, Executive will promptly deliver to the Company all documents, records, files, notebooks, manuals, letters, notes, reports, customer and supplier lists, cost and profit data, e-mail, apparatus, computers, blackberries or other PDAs, hardware, software, drawings, blueprints, and any other property or material of the Company or any of its Affiliated Entities or clients, including all materials pertaining to Confidential Information developed by Executive or others, and all copies of such materials, whether of a technical, business or fiscal nature, whether on a laptop, desktop, cell phone, tablet or other electronic device, in hard copy, disk, USB drive, cloud or any other format, which are in his possession, custody or control.

Nothwithstanding any other provision of this Plan, the benefits of any Participant who was a participant in and accrued benefits under the Cingular Wireless SBC Executive 2005 Transition Pension Make Up Plan (which is a Predecessor Plans) shall have their benefits distributed exclusively in a lump sum.
