During Executives employment, upon the Boards request, or upon the termination of his employment for any reason, Executive will promptly deliver to the Company all documents, records, files, notebooks, manuals, letters, notes, reports, customer and supplier lists, cost and profit data, e-mail, apparatus, computers, blackberries or other PDAs, hardware, software, drawings, blueprints, and any other property or material of the Company or any of its Affiliated Entities or clients, including all materials pertaining to Confidential Information developed by Executive or others, and all copies of such materials, whether of a technical, business or fiscal nature, whether on a laptop, desktop, cell phone, tablet or other electronic device, in hard copy, disk, USB drive, cloud or any other format, which are in his possession, custody or control.
Return of Records and Property. Upon termination of Executive’s employment,employment or at any time upon the BoardCompany’s request, or upon the termination of his employment for any reason, Executive will promptly deliver to the Company any and all Company and Affiliate records and any and all Company and Affiliate property in Executive’s possession or under Executive’s control, including without limitation manuals, books, blank forms, documents, records, files,letters, memoranda, notes, notebooks, manuals, letters, notes, reports, customerprintouts, computer disks, computer tapes, source codes, data, tables or calculations and supplier lists, cost and profit data, e-mail, apparatus, computers, blackberriesall copies thereof, documents that in whole or in part contain any trade secrets or confidential, proprietary or other PDAs, hardware, software, drawings, blueprints, and any other property or materialsecret information of the Company or any of its Affiliated Entities or clients, including all materials pertaining to Confidential Information developed by Executive or others,Affiliates and all copies of such materials, whether of a technical, business or fiscal nature, whether on a laptop, desktop, cell phone, tablet orthereof, and keys, access cards, access codes, passwords, credit cards, personal computers, telephones and other electronic device, in hard copy, disk, USB drive, cloudequipment belonging to the Company or any other format, which are in his possession, custody or control.its Affiliates.
