Commissions. Sellers and Purchaser mutually represent and warrant that no real estate commission, finders' or brokers' fee has been or will be incurred in connection with this Agreement for the sale of Assets contemplated hereby. Each Party agrees to indemnify and hold the other harmless from and against any and all real estate commissions, finders' fees or brokers' fees due or claimed to be due in connection with this transaction and attributable to the indemnifying Party, such indemnity to include reasonable attorneys' fees and costs incurred in connection with any such claim.

Seller and Purchaser mutuallyeach hereby warrant and represent and warrantto the other that no real estate commission, finders'brokers, agents, finders’ fees or brokers' fee has beencommissions, or will be incurredother similar fees, are due or arising in connection with the entering into of this Agreement forContract, the sale and purchase of Assetsthe Property, or the consummation of transactions contemplated hereby. Each Party agreesherein; and Seller and Purchaser each hereby agree to indemnify and hold the other harmless from and against any and all real estate commissions, finders' feesliability, loss, cost, damage, or brokers' fees due or claimedexpense (including but not limited to be due in connection with this transaction and attributable to the indemnifying Party, such indemnity to include reasonable attorneys'attorneys’ fees and costs incurred in connectionof litigation) which the other party shall suffer or incur because of any claim by a broker, agent, or finder claiming by, through, or under such indemnifying party, whether or not such claim is meritorious, for any compensation with any such claim.respect to the entering into of this Contract, the sale and purchase of the Property, or the consummation of the transactions contemplated herein.
