means, with respect to a pharmaceutical product (including Licensed Product), any and all processes and activities conducted to prepare for and establish and maintain sales for such product, including offering for sale, detailing (including physician targeting), promoting, marketing, advertising, pricing, seeking and securing reimbursement, branding, selling, storing of finished products, transporting and distributing such product. For clarity, Commercialization includes # medical support planning, medical affairs activities, medical education activities and other activities traditionally conducted by medical scientific liaisons, health economics and outcomes researchers and other individuals having similar functions, including gathering and maintaining user feedback and establishing and maintaining one or more call centers in connection therewith, # the conduct of any Post-Approval Activities, including all regulatory matters in support thereof or otherwise necessary to maintain any NDA Approval. “Commercialize” and “Commercialized” has a correlative meaning.

The JCC’s primary responsibilities shall include, but shall not be limited to, the following functions or roles:

Responsibilities of the Commercialization Committee. The Commercialization Committee shall be responsible for overseeing and reviewing the activities of either Parties under this Agreement with respect to the Commercialization activities for the Licensed Products to be conducted by the Parties hereunder. The Commercialization Committee shall, in particular:

Roche, at its own expense, shall have the sole responsibility and decision-making authority for the marketing, promotion, sale and distribution of Products in the Field in the Roche Territory.

Commercialization. Providence shall be responsible in its sole discretion for the Commercialization of Collaboration Compounds and Products in the Licensed Field, including the distribution, marketing and sales activities with respect to Collaboration Compounds and Products.

Commercialization Responsibilities. [[FibroGen:Organization]] will have sole control over and decision-making authority with respect to the Commercialization of all Licensed Products in the Territory, including the right to determine the price of the Licensed Products sold in the Territory.

Commercialization. On a Licensed Compound-by-Licensed Compound basis, # [[EPIZYME:Organization]], at its sole cost, either itself or by and through its Affiliates, Sublicensees or contractors, shall have the sole right and responsibility for all Commercialization activities in connection with such Licensed Compound, any Therapeutic Product or Veterinary Product comprising such Licensed Compound and any related Diagnostic Product(s) in the Field in the [[EPIZYME:Organization]] Territory, and # EISAI, at its sole cost, either itself or by and through its Affiliates, Sublicensees or contractors, shall have the sole right and responsibility for all Commercialization activities in connection with such Licensed Compound, any Therapeutic Product or Veterinary Product comprising such Licensed Compound and any related Diagnostic Product(s) in the Field in the EISAI Territory. [[EPIZYME:Organization]] shall book all sales of Licensed Products in the [[EPIZYME:Organization]] Territory and EISAI shall book all sales of Licensed Products in the EISAI Territory.

Commercialization. As between the Parties, Neurocrine will have the exclusive right to conduct, and will be solely responsible for all aspects of, the Commercialization of Products in the Territory, including: # developing and executing a commercial launch and pre-launch plan, # manufacturing and supplying Products for commercial use, # negotiating with applicable Governmental Authorities and private payors regarding the price and reimbursement status of the Products; # marketing and promotion; # booking sales and distribution and performance of related services; # handling all aspects of order processing, invoicing and collection, inventory and receivables; # providing customer support, including handling medical queries, and performing other related functions; and # conforming its practices and procedures to applicable Laws relating to the marketing, detailing and promotion of Products in the Territory. As between the Parties, Neurocrine shall bear all costs and expenses incurred in connection with the Commercialization of Products in the Territory.

Commercialization Responsibilities. During the Term, subject to the receipt of Regulatory Approval for a particular Licensed Product or Additional Licensed Product, as applicable, [[Savara:Organization]] shall be responsible for all aspects of the Commercialization of the Licensed Product for the Initial Indication and any Additional Licensed Products for their applicable Additional Indications in countries within the Territory in which such Licensed Product and/or Additional Licensed Product (as applicable) has received Regulatory Approval. Such Commercialization responsibilities shall include: # developing and executing a commercial launch and pre-launch plan including considerations for the distribution of commercial supplies of the Licensed Product and/or Additional Licensed Product (as applicable); # negotiating with applicable Governmental Authorities regarding the price and reimbursement status of such Licensed Product and/or Additional Licensed Product (as applicable); # marketing and promotion; # booking sales and distribution and performance of related services; # handling all aspects of order processing, invoicing and collection, inventory and receivables; # providing customer support, including handling medical queries, and performing other related functions; and # conforming its practices and procedures to applicable Laws relating to the marketing, detailing and promotion of such Licensed Product and/or Additional Licensed Product (as applicable) in the Territory. [[Savara:Organization]] shall bear all of the costs and expenses incurred in connection with such Commercialization activities.

Commercialization Responsibilities. Without limiting the foregoing, Novos’ responsibilities shall include the pre-commercial services set forth in [Exhibit A], the launch and commercial services set forth in [Exhibit B], and the functional services set forth in [Exhibit C]. Novos shall perform the Services solely for the Product and not for any other products of Evoke. Evoke shall be responsible for the corporate functions set forth in [Exhibit D], the development, Manufacture, labelling, packaging, storage, logistics, distribution, marketing, and sale of the Products and obtaining and maintaining NDA Approval for the Product. Notwithstanding the foregoing, Novos shall manage and supervise the logistics, distribution, marketing, and sale of the Products and coordinate activities with a third party logistics vendor for such logistics and distribution of the Products and with a third party commercial sales organization for such marketing and sale of the Products, as each is contracted by Evoke.
