Commercial Updates. Licensee shall keep Verrica reasonably informed of Licensee’s, its Affiliates’ and Sublicensees’ commercialization activities with respect to the Products in the Field in the Territory. Licensee shall update the JSC on an annual basis regarding its commercialization activities with respect to the Products in the Field in the Territory. Such update must summarize Licensee’s and its Affiliates’ and Sublicensees’ significant commercialization activities with respect to the Products in the Field in the Territory, including Licensee’s sales activities, sales forecasts for at least the next ​, marketing activities, and medical affairs activities.

Commercial Updates. For each Product, AcelRx shall consult with and provide regular updates to Aguettant including through the JSC regarding the Commercialization Strategy and Commercialization activities in the Territory (“Commercialization Updates”). Without limiting the generality of the foregoing, AcelRx shall provide # a Commercialization Update to Aguettant through the JSC at least ​ in MYs 1 and 2, and at least ​ in MY 3 and thereafter, and # current sales reports to Aguettant in writing at least ​.

Each such update shall be in a form to be agreed by the CGB and shall summarize Licensee’s and its Affiliates’ and Sublicensees’ significant Commercialization activities with respect to the Products in the Licensee Territory, and shall contain at least such information at a level of detail reasonably required by Ovid to determine Licensee’s compliance with its diligence obligations set forth in this Section 6.3. Such updates shall include Licensee’s sales activities, sales forecasts for at least the next ​, marketing activities, and Medical Affairs Activities.

Each Affected Person agrees that if any form or certification it previously delivered pursuant to this [Section 5.03(f) or (g)])] expires or becomes obsolete or inaccurate in any respect, it shall update such form or certification or promptly notify the Seller and the Administrative Agent in writing of its legal inability to do so.

Eversana shall, forty-five (45) days before the expected Commercial Launch and in any event no less than on an annual basis thereafter, update each Commercialization Plan and Commercialization Budget for the following year. Eversana shall submit such updated Commercialization Plans and Commercialization Budgets to the Committee for review and approval at least two (2) weeks before the date of the fourth quarter meeting of the Committee, but in no event later than October 31 of each calendar year for the following calendar year. Within thirty (30) days following such submission, the Committee shall either approve the Commercialization Plan and Commercialization Budget prepared by Eversana or approve a modified Commercialization Plan and Commercialization Budget. Any proposed material changes to a previously approved Commercialization Plan or Commercialization Budget shall not take effect unless and until reviewed and approved by the Committee.

Updates. Supplier will be responsible for the preparation of the Procedures Manuals and will prepare and provide to Customer, in both print and electronic formats, proposed updates thereto as necessary to reflect any substantive changes therein within a reasonable time prior to the implementation of such changes. Either Party may, from time to time, request updates or amendments to the Procedures Manuals.

Updates. Acadia shall update each Development Plan at least annually, which update shall be submitted to the JDC for review and comment, and to the JSC for review and approval. Once approved by the JSC, each updated Development Plan shall become effective and supersede the previous Development Plan as of the date of such approval or at such other time as decided by the JSC.

Novos shall submit such updated Commercialization Plans and Commercialization Budgets to the JGC for review and approval at least two (2) weeks before the date of the fourth quarter meeting of the JGC, but in no event later than October 31 of each calendar year for the following calendar year. Within thirty (30) days following such submission, the JGC shall either approve the Commercialization Plan and Commercialization Budget prepared by Novos or approve a modified Commercialization Plan and Commercialization Budget. Any material changes to the Commercialization Plan and Commercialization Budget shall be mutually agreed to in writing by Novos and Evoke.
