The terms under which SGI will supply commercial supplies of SGI Antibodies to Unum for use as part of the Products in the Shared Territory will be set forth in a supply agreement to be entered into between the Parties no later than ​ days before the expected filing of the first Regulatory Approval of the first Development Candidate or associated Product in the Territory (the “SGI Antibodies Commercial Supply Agreement”). Such SGI Antibodies Commercial Supply Agreement will contain customary terms and conditions, including quality and indemnity, and otherwise be consistent with this Agreement.

The terms under which SGI will supply commercialclinical supplies of SGI Antibodies to Unum for use as part of the ProductsDevelopment Candidates in the Shared Territory under the Late Clinical Development Plan will be set forth in a supply agreement to be entered into between the Parties no later than ​ days beforeprior to the expected filingdate of the first Regulatory Approvalinitiation of a Clinical Trial of the first Development Candidate or associated Product in the Territory (the “SGI Antibodies CommercialClinical Supply Agreement”). Such SGI Antibodies CommercialClinical Supply Agreement will contain customary terms and conditions, including quality and indemnity, and otherwise beconditions that are consistent with this Agreement.

The terms under which SGI will supply commercialResearch and clinical supplies of SGI Antibodies to Unum for use as part of the ProductsResearch Candidates and Development Candidates in the Shared Territory under the Research Plan and Early Clinical Development Plan will be set forth in a supply agreement to be entered into between the Parties no later than ​ days beforeafter the expected filing of the first Regulatory Approval of the first Development Candidate or associated Product in the TerritoryEffective Date (the “SGI Antibodies Commercial SupplyManufacturing Services Agreement”). Such SGI Antibodies Commercial SupplyManufacturing Services Agreement will contain customary terms and conditions, including quality and indemnity, and otherwise beconditions that are consistent with this Agreement.
