Milestone Payments. Within […​…] after the first achievement by Assignee or a Licensee of each of the following milestone events by the first Human Therapeutic Product, Assignee shall provide written notice to Assignor of the occurrence of such event. Where the milestone event is achieved by Assignee, Assignee shall pay to Assignor the corresponding milestone payment set forth below. Where the milestone event is achieved by a Licensee, Assignee shall pay to Assignor the difference between the corresponding payment set forth below and the amount payable by Assignee to Assignor in accordance with Section 3.5 below as a result of Assignee’s receipt of any milestone payment from the Licensee for the achievement of that milestone event, if the amount payable under Section 3.5 is lower.

Development Milestone Payments. Licensee shall pay to Axsome the following development milestone payment (the “Development Milestone Payment”) upon the achievement of the following milestone for the Licensed Product (the “Development Milestone”), whether achieved by Licensee or an Affiliate or Sublicensee. Licensee shall promptly (but in no event later than seven (7) Business Days after) notify Axsome in writing of the achievement of the Development Milestone and Licensee shall pay Axsome in full the Development Milestone EAST\200870719.16

Retroactive Milestone Payments. For each Licensed Product, if Denali achieves a Milestone Event ​, or a ​, without having achieved the Milestone Event(s) of any ​, Denali shall owe the milestone payment(s) due retroactively at the time of achieving the subsequent Milestone Event(s) (the “Retroactive Payment”). CSPC will receive an upfront payment of $7.5 million. CSPC will also be eligible to receive royalties on net sales and up to $130 million in potential development and regulatory milestone payments and $555 million in potential commercial milestone payments.

Regeneron shall pay to CytomX one-time milestone payments (“Milestone Payments”) following the first achievement by or on behalf of Regeneron of the corresponding milestone events as set forth in the following tables (“Milestone Events”): # for each Milestone Event set forth in the table titled “Development and Regulatory Milestone Events,” on a Licensed Product-by-Licensed Product basis, with respect to any Licensed Product, and # for each Milestone Event set forth in the table titled “Commercial Milestone Events,” on a Collaboration Program-by-Collaboration Program basis, with respect to Licensed Products within such Collaboration Program. provided any Development Milestone or Commercial Milestone, as applicable, has been achieved on or before the date of expiration or the effective date of termination, any unpaid Development Milestone Payment or Commercial Milestone Payment shall remain due and payable and shall be paid within ten (10) Business Days of such date of expiration or termination.

On a Product-by-Product basis, SGI will make one-time only milestone payments to Unum based on the first achievement of the development and regulatory milestone events as set forth in this Section 11.7 for each Product.

Signing Payment, and Milestone Payments. Simultaneous with the Parties’ execution of this Agreement, in addition to reimbursing TRIS via wire transfer for the ​ 2019 PDUFA Program Fee pursuant to [Section 2.2, AYTU] shall pay TRIS the Upfront Cash Payment via wire transfer of immediately available funds as directed by TRIS, and issue and deliver to TRIS stock certificates (or electronic delivery as may be requested by TRIS) for the Upfront Stock Consideration, which payments and issuance shall be non-refundable and non- creditable. In addition, AYTU shall pay the following non-refundable and non-creditable one- time milestone payments (each of which shall be payable by wire transfer in immediately available funds as directed by TRIS): # the NDA Approval Milestone following NDA Approval of CCP-08, as set forth in Section 2.1(b); # ​ payable on the earlier of # the third anniversary of the Effective Date and # the date when cumulative combined aggregate Net Sales of all Products since the Effective Date, by AYTU, its Subsidiaries and Sublicensees exceed ​, and # ​ if and when cumulative combined aggregate Net Sales of all Products since the Effective Date by AYTU, its Subsidiaries and Sublicensees exceed ​. For the avoidance of doubt, for purposes of each of the [foregoing clauses (ii) and (iii)])] cumulative combined aggregate Net Sales of the Products by AYTU and its Subsidiaries shall, in each such case, be calculated from the Effective Date through the applicable date of determination and no payment made or payable pursuant to any such clause shall be credited against or otherwise reduce any payment payable under another clause (so that total payments made and required to be made pursuant to this [Section 3.6(a)] when the milestones set forth in [Section 3.6(a)(i), (ii) and (iii)])])] are achieved shall aggregate ​.

The closings of the transactions contemplated in Section 2.3 above will take place at closings to be held remotely via the exchange of documents and signatures within thirty (30) business days following the occurrence of any of the Milestone Closings.
