Commercial Milestone Payments. As partial consideration for the exclusive rights and covenants granted by Poseida to Takeda pursuant to this Agreement, Takeda shall make non-refundable, non-creditable milestone payments (each, a “Commercial Milestone Payment”) to Poseida upon achievement of the milestones set forth below (each, a “Commercial Milestone”) on a Program-by-Program basis. Takeda will notify Poseida of the achievement of each Commercial Milestone no later than […​…] after the end of the Calendar Year in which such Commercial Milestone is achieved. Thereafter, Poseida will provide Takeda with an invoice for the corresponding Commercial Milestone Payment, and Takeda will pay to Poseida such Commercial Milestone Payment no later than […​…] following receipt by Takeda thereof.

In partial consideration of the licenses and rights granted to Pint, within ​ after achievement of each Milestone set forth below, Pint shall pay to Puma the corresponding non-creditable and non-refundable commercial milestone payment:

Commercial Milestone Payments. [[3D Medicines:Organization]] shall pay to [[Aravive:Organization]] the additional one-time, non-refundable, non-creditable payments set forth in the table below within ​ after the first achievement by the cumulative Net Sales of Licensed Products of the applicable sales milestone event. For clarity, each of the following milestone payments shall be payable only once regardless of the number of times such milestone is achieved.

Milestone Payments. Within ​ of the receipt, by Licensee, of the approval of an NDA from the United States Food and Drug Administration (the "FDA"), or an equivalent approval from any other Regulatory Authority authorized to issue such approvals in markets other than the United States, for the first Licensed Product, Licensee shall make a one-time payment of ​ to UABRF.

INNOCOLL shall pay [[DURECT:Organization]] the corresponding amount following the occurrence of each milestone event set forth on subsections a), b) and c) below (each, a “Milestone Event”).

Commercial Milestone Payments. Apollomics shall pay to [[GlycoMimetics:Organization]] the additional one-time, non-refundable, non-creditable payments set forth in the table below for the licenses herein within thirty (30) days after the first achievement of each milestone event described below. For clarity, the milestone payments in this Section 8.3 shall be additive such that if multiple milestone events specified below are achieved in the same Calendar Quarter, then the milestone payments for all such milestone events shall be payable within thirty (30) days after the end of such Calendar Quarter. For clarity, each of the following milestone payments shall be payable only once regardless of the number of times such milestone event is achieved.

Commercial Milestone Payments. Subject to the remainder of this Section 8.5, Sana shall pay to Beam the milestone payments set forth in the table below when the annual aggregate Net Sales of each Licensed Product first reach the values indicated below (each, a “Commercial Milestone Event”); provided, however, that that in the event that ​, Sana shall, in lieu of the amount set forth in the “Milestone Payment A” column in the table below, instead pay to Beam the applicable milestone payment set forth in the “Milestone Payment B” column of the table below.

Milestone Payments. Zai shall notify NVCR in writing of the achievement by or on behalf of Zai, its Affiliates or sublicensees of any milestone event set forth in this [Section 9.2] promptly after the occurrence thereof, and Zai shall pay NVCR each non-refundable, non-creditable milestone payment set forth in the tables below within ​ calendar days of the achievement of such milestone event by or on behalf of Zai, its Affiliates or sublicensees.

Commercial Milestone Payment. Within ​ after the first achievement of the milestone event set forth in the table below, Licensee shall provide Verrica with written notice of such achievement. Within ​ upon receipt from Verrica of an invoice and all Tax Documents for the relevant amount payable to Verrica under this Section 8.3, Licensee shall pay to Verrica the corresponding non-refundable, non-creditable milestone payment set forth in such table.

Deferring Multiple Commercial Milestone Payments. If more than one commercial milestone payment is owed to [[Sanofi:Organization]] in a single calendar year under [Section 6.2.3], and the payment of more than one such commercial milestone payment would materially adversely impact Acer’s ability to fulfil its obligations herein, Acer may, on written notice to [[Sanofi:Organization]], elect to pay late payment interest in accordance with [Section 6.5] on such commercial milestone payment from the date on which such commercial milestone payment is due until it is paid, provided that all such commercial milestone payments shall, in any event, be made in full no later than one (1) year from the date upon which such payment is originally due and payable. If Acer # fulfils its notice obligations in this [Section 6.2.5] and # pays late payment interest in accordance with [Section 6.5] on time and in full, then [[Sanofi:Organization]] will not exercise its right of termination for material breach (non-payment) in accordance with [Section 12.2] with regard to any such deferred commercial milestone payment.
