Collections contract clause examples

Collections. Borrower shall at all times maintain a securities account and/or deposit account (or accounts) into which all principal, interest and fees with respect to Portfolio Investments will be deposited in accordance with clause (b)(i), below, which securities account or deposit account (or accounts), as the case may be, shall at all times be subject to a Control Agreement if not maintained with Bank (each, a “Collateral Account” and collectively, the “Collateral Accounts”).

Collections. So long as no Event of Default has occurred and is continuing, the Facility Servicer (on behalf of the Borrower) shall (as directed pursuant to the first paragraph of this Section 2.08) instruct the Account Bank to transfer Collections held by the Account Bank in the Collection Account, in accordance with the Payment Date Report, and shall instruct the Administrative Agent to distribute such funds to the following Persons in the following amounts, calculated as of the most recent Determination Date, subject to the minimum balance requirement included in the Account Control Agreement, in the following order and priority, with respect to Collections:

Collections. All Collections received by such Loan Party with respect to the Collateral Portfolio are held in trust for the benefit of the Administrative Agent, for the benefit of the Secured Parties, until deposited into the Collection Account as provided herein.

(i) Deposit, or permit any Solar Asset Subsidiary to deposit, at any time Collections received by it into any bank account other than its Solar Asset Subsidiary Operating Account or the Revenue Account; provided that the inadvertent depositing of funds into any other account shall not constitute a breach of this provision so long as the Borrower or the applicable Borrower Subsidiary transfers such funds to the Revenue Account no later than the fifth (5th) Business Day after becoming aware thereof, or # deposit, or permit any Managing Member to deposit, at any time Borrower Subsidiary Distributions into any bank account other than the Revenue Account (other than Borrower Subsidiary Distributions constituting Excluded Collateral).

If made in accordance with the terms of this Agreement, each remittance of Collections by any Borrower to the Lenders hereunder will have been # in payment of a debt incurred by any Borrower in the ordinary course of business or financial affairs of such Borrower and # made in the ordinary course of business or financial affairs of any Borrower.

Collections. The Collateral Manager shall promptly identify any Collections received directly by it as Interest Collections or Principal Collections and shall transfer all such Collections to the appropriate Collection Account within two (2) Business Days after its receipt thereof. Upon the receipt of Collections in the Collection Account during any Accrual Period, the Collateral Manager shall identify Principal Collections and Interest Collections no later than the Measurement Date related to the Payment Date immediately following such Accrual Period and direct the Collateral Agent and Securities Intermediary to transfer the same to the Principal Collection Account and the Interest Collection Account, respectively. The Collateral Manager shall further include a statement as to the amount of Principal Collections and Interest Collections on deposit in the Principal Collection Account and the Interest Collection Account on each Reporting Date in the Collateral Management Report delivered pursuant to Section 6.8(c).
