Collaboration. ​ will develop and design some of its ​ products (the “Products”) for manufacture using GLOBALFOUNDRIES Inc. and its subsidiaries’ (the “GF Group”) process technology as long as such GF offering meets ​’s product requirements. The GF Group will provide ​ with early access to and support for GF’s ​ PDKs and related technology in line with best customer practice. In order to establish the manufacturability of the Products on the GF Group’s process technology, the parties will # work collaboratively to timely share product requirements, process technology requirements, product roadmaps and other pertinent information, and # establish a regular cadence of meetings and checkpoints to drive and track progress to mutually agreed timelines.

The Parties have agreed upon the Initial Collaboration Programs as of the Effective Date. At any time during the Program Selection Period, Regeneron shall have the option to nominate up to ​ additional Collaboration Programs, each focused on identifying Products which may include a combination of particular ​ for inclusion under this Agreement (such Collaboration Program, an “Additional Collaboration Program,” and such option, an “Additional Collaboration Program Option”).

Collaboration Patents. ​ will ​, for preparing, filing, prosecuting (including provisional, reissue, reexamination, continuing, divisional, continuation, continuation-in-part, and substitute applications and any foreign counterparts thereof), and maintaining all Collaboration Patents and conducting any interferences and oppositions or similar proceedings relating to any such Collaboration Patents.

Synergy Programs. Employee shall continue to participate in the 2021 D&B Europe Cost Savings Achievement Plan and shall be eligible to participate in any future Company synergy plan, subject in all cases to approval by the Company Board or a committee thereof.

Designated Programs. The parties acknowledge that # certain costs of the operation of each of the parties are incurred under programs (the “Designated Programs”) that apply only to certain segments of the employee population, based on the needs of the employers and the terms of their employment; and # the cost and administrative activities related to such programs (“Shared Program Costs”) can reasonably be expected to be reduced if such Designated Programs are operated on a shared basis. The Designated Programs covered by this Agreement are as set forth on [Schedule 3] attached to this Agreement. The costs for the items included on [Schedule 3] shall be reviewed by authorized officers of each of the parties on an annual basis (or more frequently to the extent deemed appropriate by such authorized officers).

Incentive Programs. The period (the “Extension Period”) beginning on the date when the termination of employment is effective and ending on the earlier of # the third-year anniversary of the date when the employment termination is effective, or # the date of the Executive’s death shall be counted as employment with NWL for purposes of vesting in each of the incentive awards heretofore or hereafter granted to the Executive, any contrary provisions of such awards or the applicable plan notwithstanding. The term “incentive award” shall include, without limitation, all awards with respect to equity or derivative securities of NWLGI, and all cash incentive awards. This Subsection shall not be construed to require NWLGI to grant any new awards to the Executive during the Extension Period. The parties understand and agree that the Extension Period also counts as employment with NWL for purposes of determining the expiration date of any incentive award granted and held by the Executive when employment terminates.

Unum’s proprietary ACTR technology enables programming of a patient’s T-cells to attack tumor cells when co-administered with tumor-specific therapeutic antibodies. ​, through its extensive work in the field of antibody-drug conjugates (ADCs), has a substantial portfolio of cancer targets and tumor-specific monoclonal antibodies from which programs will be selected for the collaboration.

Additional Collaboration Program Notice pursuant to [Section 3.1.2] with respect to the relevant Additional Collaboration Program, then after CytomX receives such Additional Collaboration Program Notice for such Additional Collaboration Program and within ​ days of Regeneron’s receipt of an invoice from CytomX, Regeneron shall pay CytomX a ​.

Other Benefit Plans and Programs. Employee shall also be entitled to participate in the Standex Management Stock Purchase Program, the Standex Retirement Savings Plan and such other incentive, welfare and defined contribution retirement benefit plans as are made available, from time to time to senior divisional management employees of the Employer.

Other Benefit Plans and Programs. In addition to the Base Salary and other compensation provided for in Section 3 and Section 4 above, the Executive shall be eligible to participate in such health and welfare benefit plans (including Executive’s eligible dependents) and any qualified and/or non-qualified retirement plans of ​ as may be in effect from time to time; provided, however, that participation shall be subject to all of the terms and conditions of such plans, including, without limitation, all waiting periods, eligibility requirements, vesting, contributions, exclusions and other similar conditions or limitations. Any and all benefits under any such plans shall also be payable, if applicable, in accordance with the underlying terms and conditions of such plan document. Executive’s participation in the foregoing plans and any perquisite programs will be on terms no less favorable than afforded to executives at the Executive’s level, as in effect from time to time. ​, however, shall have the right in its sole discretion to modify, amend or terminate such benefit plans and/or perquisite programs at any time. ​ will reimburse the Executive for all reasonable business expenses incurred by Executive in the course of performing Executive’s duties and responsibilities under this Agreement which are consistent with ​’s policies and procedures in effect from time to time.
