Overview. The Parties have established a joint steering committee (the “Joint Steering Committee” or the “JSC”) which shall oversee the Joint Venture between the Parties.

1 Overview of the Collaboration.

Collaboration Overview. The Parties will collaborate by performing the activities set forth in the Research Plan for the purpose of designing and advancing a Product Candidate to Establishment of POC.

Collaboration Overview. The Parties desire and intend to collaborate with respect to the Development and Commercialization of Products in the Field in the Territory, including, without limitation, as described in the Co-Promotion Agreement, and as and to the extent set forth in this Agreement (the “Collaboration”). It is intended that the Collaboration utilize AstraZeneca’s Development and Commercialization capabilities, while recognizing FibroGen China’s current experience and expertise in and aspirations to further develop its clinical development, manufacturing and commercialization capabilities with respect to HIF Compounds. In addition, it is a goal of the Collaboration to facilitate innovation with HIF Compounds in the Field in the Territory.

Collaboration Overview. Prior to the Effective Date, Relay has been engaged in the Development of the Lead Candidate and Lead Products in the Field in the Territory. Under this Agreement, Relay and Licensee will collaborate in the further Development and Commercialization of the Lead Candidate and Lead Products in the Field in the Territory, and, subject to certain retained rights, to the extent set forth in Section 12.1, Relay grants Licensee an exclusive license for the Research, Development, Manufacture and Commercialization of Licensed Candidates and Licensed Products in the Field in the Territory. As part of the collaboration, # Relay will complete the Relay Phase Ia Trial in accordance with the Relay Phase Ia Plan and the applicable provisions of this Agreement, # Relay may share in the Development Costs and Net Profits and Net Losses for Shared Products with respect to the Profit Share Territory, and # Relay may Develop Relay Pipeline Combination Eligible Licensed Products solely in connection with the Development of Relay Pipeline Combinations and may co-promote the Relay Pipeline Combination Eligible Licensed Products solely for Combination Use in Relay Pipeline Combinations in coordination with Licensee and in accordance with this Agreement any applicable Coordinated Promotion Agreement. Except for the limited rights reserved to Relay hereunder, Licensee will have the sole right and responsibility to conduct Research and Development for the Licensed Candidates and Licensed Products and to Manufacture and Commercialize the Licensed Candidates and Licensed Products.

Overview. During the Term, Licensee will be solely responsible for the Development, Manufacture, and Commercialization, including all costs thereof, of Compound and the Products in the Field in the Territory.

Collaboration Overview. Pursuant to this Agreement, the Parties have collaborated on the conduct of global Development activities prior to the Restatement Date, and after the Restatement Date [[EPIZYME:Organization]] shall continue to conduct global Development activities with respect to Licensed Compounds and Licensed Products and shall Commercialize the Licensed Products in the [[EPIZYME:Organization]] Territory and EISAI shall conduct [[Address B:Address]]-Specific Development Activities with respect to Licensed Compounds and Licensed Products and shall Commercialize the Licensed Products in the EISAI Territory (the “Collaboration”).

Collaboration Overview. The Parties desire and intend to collaborate with respect to the Research of Products in the Field in the Territory, as and to the extent set forth in this Agreement.
