Co-Co Licenses. In the event that through the JGC the Parties identify Patents, Know-How or Materials of a Third Party that are necessary to Develop and Commercialize Elected Candidate and Licensed Product worldwide, upon JGC recommendation, one or the other Party (or both) will use commercially reasonable efforts to obtain a license or other rights to such Patents, Know-How or Materials for use in connection with the performance of such Development and Commercialization (“Co-Co In-Licenses”). Prior to entering into any Co-Co In-License, the contracting Party will provide a draft copy to the other Party and the other Party will have the right to review and provide comments to such proposed Co-Co In-License. Neither Party will enter into a Co-Co In-License without the prior approval of the JGC, provided that [[Celgene Corp:Organization]] will be free to enter into any Co-Co In-License for ROW Administration notwithstanding this Section 8.1. If a Party enters into any Co-Co In-Licenses during the CCPS Agreement Term, [Appendix E] hereto will be updated accordingly to include such Co-Co In-Licenses.

Hotel Operation. Seller shall continue to operate and maintain the Premises in accordance with past practices and applicable laws in all material respects, and except to the extent necessary to remedy an emergency situation risking harm to persons or property, Seller shall not make any alterations or changes

Standard reasonable assistance to engage Supplier’s local and channel sales teams to work in conjunction with [[AT&T:Organization]]’s Cybersecurity salesforce.

Operation Manuals. Upon Landlord’s written request and contemporaneously with Tenant’s vacation of the Premises, Tenant shall provide Landlord with operation and maintenance manuals and copies of warranties for all equipment installed at the Premises that will remain at the Premises when Tenant vacates.

SYNGAP1 Co-Co Products. The Parties will jointly develop a global publication strategy for the [[Unknown Identifier]] Co-Co Products, including a strategy for the publication of data generated under this Agreement from the conduct of Clinical Trials for [[Unknown Identifier]] Co-Co Products.

Operation of Properties. Except as provided in [Section 4.19 and 4.20]0] below and only to the extent Borrower is an “operator” of any Oil and Gas Properties, Borrower will operate, or use reasonable efforts to cause to be operated, all Oil and Gas Properties in a careful and efficient manner in accordance with the practice of the industry and in compliance in all material respects with all applicable laws, rules, and regulations, and in compliance in all material respects with all applicable proration and conservation laws of the jurisdiction in which the properties are situated, and all applicable laws, rules, and regulations, of every other agency and authority from time to time constituted to regulate the development and operation of the properties and the production and sale of hydrocarbons and other minerals therefrom; provided, however, that Borrower shall have the right to contest in good faith by appropriate proceedings, the applicability or lawfulness of any such law, rule or regulation and pending such contest may defer compliance therewith, as long as such deferment shall not subject the properties or any part thereof to foreclosure or loss.

Operation of Properties. Operation of Properties. Seller will cause the Properties to be operated in the ordinary course of business consistent with its prior practice and pursuant to the terms of the Leases.

Operation of Building. The Building is or may in the future become certified under any one or more Green Rating Systems or operated pursuant to Landlord’s sustainable building practices. Landlord’s sustainability practices address whole-building operations and maintenance issues, including, but not limited to, chemical use, indoor air quality, energy efficiency, water efficiency, recycling programs, transportation management programs, exterior maintenance programs, and systems upgrades to meet green building energy, water, indoor air quality, and lighting performance standards. All construction and maintenance methods and procedures, material purchases, and disposal of waste must be in compliance with minimum standards and specifications provided to Tenant, in addition to all Applicable Laws.

Operation of Property. From the Effective Date through and including the Closing Date, Seller agrees to operate and maintain the Property in the normal course of business substantially in accordance with Seller's past practices with respect to the Property, normal wear and tear excepted.
