Documentation Agent. Anything herein to the contrary notwithstanding, [[Organization A:Organization]], as the Documentation Agent listed on the cover page hereof, shall not have any liabilities, duties or responsibilities under this Agreement or any of the other Loan Documents in such capacity.

Co-Collateral Agent If necessary or appropriate under Applicable Law, Agent may appoint a Person to serve as a co-collateral agent or separate collateral agent under any Loan Document Each right and remedy intended to be available to Agent under the Loan Documents shall also be vested in such agent Secured Parties shall execute and deliver any instrument or agreement that Agent may request to effect such appointment If the agent so appointed shall die, dissolve, become incapable of acting, resign or be removed, then all the rights and remedies of such agent, to the extent permitted by Applicable Law, shall vest in and be exercised by Agent until appointment of a new agent

“Co-Documentation Agent” means each of [[Co-Documentation Agent:Organization]] and [[Co-Documentation Agent:Organization]] in its capacity as co-documentation agent for the credit facility evidenced by this Agreement.

“Co-Documentation Agents” means # PNC Capital Markets and # [[Co-Documentation Agent:Organization]], each in its capacity as a documentation agent under any of the Loan Documents, or any successor co-documentation agent or agents.

“Agents” means, collectively, the [[Administrative Agent:Organization]], the Collateral Agent, each of the Co-Syndication Agents, each of the Co-Documentation Agent, the [[FILO Documentation Agent:Organization]], each co-agent or sub-agent (if any) appointed by the [[Administrative Agent:Organization]] from time to time pursuant to Section 11.5 and the Arrangers.

as a Co-Documentation Agent

“Co-Documentation Agent” means TD Bank, N.A. and PNC Bank, N.A. in their capacities as co-documentation agents of the revolving credit facility provided for herein.

“[[Co-Documentation Agent:Organization]]” means [[Co-Documentation Agent:Organization]] and its successors.

None of ​, if any, identified in this Agreement as a Co-Syndication Agent or Co- Documentation Agent shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than those applicable to all ​ as such. Without limiting the foregoing, none of such ​ shall have or be deemed to have a fiduciary relationship with any Lender. Each Lender hereby makes the same acknowledgments with respect to the relevant ​ in their respective capacities as a Co-Syndication Agent or Co-Documentation Agent, as applicable, as it makes with respect to the Administrative Agent in the preceding paragraph.

Reference is made to that certain Term Loan Agreement, dated as of December 2, 2016 (as amended, restated, extended, supplemented or otherwise modified in writing from time to time, the “Agreement”; the terms defined therein being used herein as therein defined), among ​, ​ (the “Borrower”), ​ Incorporated, a Georgia corporation (the “Parent”), the Lenders from time to time party thereto, the Co-Borrowers from time to time party thereto, the Guarantors from time to time party thereto, [[Syndication Agent:Organization]], as Syndication Agent, [[Administrative Agent:Organization]], as Administrative Agent, and [[Co-Documentation Agent:Organization]] and [[Co-Documentation Agent:Organization]], as Co-Documentation Agents.
