Club Membership. A club membership will be provided by Employer for Executive to at least one country club in the South Bend region for purposes of business entertainment and use with the initiation fees, monthly fee and appropriate business-related expenses paid by Employer. This provision is conditioned on Employer continuing to offer such a benefit to other senior officers of the Bank. If such benefit is withdrawn from such other officers, then it may be withdrawn under this Agreement by Employer in its sole discretion and this section shall thus become null and void.
Club Membership. A club membership will be provided by Employer if desired by Executive to either one country club or one downtown social club, located in either case in Executive’s home community, with the initiation fee, monthly fees and appropriate business related expenses paid by Employer.
Host Country Club Membership:
Reimbursement, in accordance with the paragraph 4(f) herein, the cost of one club membership, including fees, monthly membership dues and reasonable personal use.
Club Plans. Commencing on the Program Launch Date and, subject to changes thereto required to comply with Applicable Law or as may be mutually agreed in writing by the Parties, throughout the Term and any Wind-Down Period, Bank shall, at its own expense, offer “Club Plans” as provided in [Schedule 5.10.2(c)] (Club Plans) and subject to the volume limits set forth in such [Schedule 5.10.2(c)] (Club Plans). Bank shall notify Company in writing at least sixty (60) days prior to a notification to Cardholders of any change to Club Plan features, terms or conditions required by Bank Applicable Law, unless Bank is required by Bank Applicable Law to implement such change in less than sixty (60) days from the date on which Bank first becomes aware that such a change will likely be required, in which case Bank shall provide Company with written notice as soon as practicable following the date Bank becomes aware such change will likely be so required.
You are eligible for reimbursement of club membership and initiation fees up to a maximum of $10,000 annually.
Membership. The Committee shall consist of at least three persons who shall be officers or directors of the Corporation or Eligible Employees. Members of the Committee shall be appointed from time to time by, and shall serve at the pleasure of, the Chief Human Resources Officer of the Corporation (the “CHRO”). Membership. The Parties shall, as soon as practicable and, in any event, no later than days after the Effective Date, form a joint steering committee (the Joint Steering Committee or JSC). The Joint Steering Committee shall consist of # to be selected by mutual agreement of Caribou and , # representatives of Caribou and # representatives of ; provided that the Parties may agree in writing to a different number of representatives. Unless the Parties agree differently in writing, the JSC shall be chaired by (the Committee Chair). At least representative from each Party shall have the authority to make decisions on behalf of and bind such Party within the scope of the authority of the JSC. Subject to the foregoing, each Party may replace its representatives to the Joint Steering Committee at any time upon written notice to the other Party and the Committee Chair may be replaced only upon the mutual written agreement of both Parties.

The Administrator shall report annually to the Human Resources Committee any changes in memberships for the Chief Executive Officer.
Board Membership. Upon the termination of Executive's employment for any reason, Executive will be deemed to have resigned from any seat on the Board (and from any seats on the boards, and from any offices, of subsidiaries) held at such time, voluntarily, without any further required action by the Executive, as of the end of the Employment Term. Executive, at the Board's request, will execute any documents necessary to reflect his resignation.
