Books. Each Borrower Party shall keep or cause to be kept in reasonable detail records and books of account of its assets and business, in which complete entries will be made in accordance with GAAP consistently applied.

Following the Closing, Purchaser shall not take any actions with respect to the accounting books and records of the Business for periods occurring on or prior to Closing on which the Statement is to be based that would affect the Balance Sheet or the Statement. Without limiting the generality of the foregoing, no changes shall be made in any reserve or other account existing as of the date of the Balance Sheet except as a result of events occurring after the date of the Balance Sheet and, in such event, with respect to periods occurring on or prior to Closing, only in a manner consistent with past practices of the Business. Purchaser shall cooperate in the preparation of the Statement, including providing customary certifications to Seller’s auditors. During the period of time from and after the Closing Date through the resolution of any adjustment to the Purchase Price contemplated by this Section 2.03, Purchaser shall afford to Seller and any accountants, counsel or financial advisers retained by Seller in connection with any adjustment to the Purchase Price contemplated by this Section 2.03 reasonable access during normal business hours to all the properties, books, contracts, personnel and records of the Business relevant to the adjustment contemplated by this Section 2.03.
