Certain Post-Closing Obligations. To the extent any representation and warranty would not be true or any provision of any covenant would be breached because the actions required by this [Section 6.13] are not taken on the Closing Date, the respective representation and warranty shall be required to be true and correct with respect to such action, or the respective covenant complied with, only at the time the respective action is taken (or was required to be taken) in accordance with this [Section 6.13].
